This Hire Agreement (the "Agreement") is entered into by and between:

WHEREAS, Venue Owner operates and controls the venue identified above and is willing to hire the venue to Client for the Event described herein; and

WHEREAS, Client desires to hire the venue for the purpose of conducting an event and agrees to comply with the terms and conditions set forth in this Agreement.

Scope of Work

The Venue Owner agrees to provide the venue, facilities, and related services described below. Client agrees to use the venue only for the permitted purposes and to comply with reasonable operating regulations of the Venue Owner.

Late Payment Fee: If any payment is not made when due, Client shall pay interest at the lesser of one and one-half percent (1.5%) per month or the maximum legal rate, plus any collection costs incurred by Venue Owner.

Termination for Convenience: Either party may terminate this Agreement upon written notice to the other party not less than days prior to the intended termination date. Termination shall not relieve Client of any payment obligations for services already performed or costs reasonably incurred.

Termination for Cause: Either party may terminate immediately upon material breach by the other party if such breach is not cured within days after written notice of the breach.

Insurance, Indemnity and Compliance

Insurance: Client shall, at its own expense, procure and maintain insurance policies as reasonably required by Venue Owner, including commercial general liability coverage listing Venue Owner as an additional insured where requested. Certificates evidencing required insurance must be delivered to Venue Owner prior to the Event.

Indemnification: Client shall indemnify, defend and hold harmless Venue Owner, its officers, employees and agents from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Client's use of the venue, except to the extent caused by the gross negligence or willful misconduct of Venue Owner.

Confidentiality

Both parties acknowledge that during the course of performance they may receive confidential information of the other party. Each party agrees to keep confidential all such information and to use it only for the performance of this Agreement. Confidential information does not include information that is or becomes public other than through a breach of this provision, or that is independently developed without use of confidential information.

Permits, Licenses and Compliance with Laws

Client is responsible for obtaining all permits, licenses, clearances and approvals necessary for the Event, including but not limited to permits for food service, alcohol service, amplified sound, and occupancy. Client shall comply with all applicable laws, ordinances and venue rules.

Governing Law and Dispute Resolution

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

Dispute Resolution: The parties agree to attempt in good faith to resolve any dispute arising under this Agreement by negotiation. If unresolved, the parties may pursue mediation prior to initiating litigation. Nothing in this clause prevents either party from seeking injunctive relief where appropriate.

Entire Agreement; Assignment

Entire Agreement: This Agreement, including any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.

Assignment: Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that Venue Owner may assign to a successor in interest in connection with a sale of the venue.

Miscellaneous

Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, government action, labor disputes, or other events of force majeure. The affected party shall notify the other promptly and use reasonable efforts to resume performance.
