Manager shall maintain the confidentiality of owner records and personal data and shall use such information solely for performance under this Agreement, except where disclosure is required by law or authorized in writing by the Association.

Indemnification; Limitation of Liability

The Association agrees to indemnify and hold Manager harmless from claims, liabilities, losses, damages and expenses arising from actions taken by Manager in good faith under this Agreement, except to the extent caused by Manager's gross negligence or willful misconduct. Manager's total liability for any claim arising from this Agreement shall be limited to the greater of actual direct damages or .

Termination for Convenience: Either party may terminate this Agreement without cause upon days written notice.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure within days after receipt of notice describing the breach.
