What a Holiday Memorandum of Agreement Is

A Holiday Memorandum of Agreement documents an arrangement between two or more parties—typically an employer and employees, a union, or a vendor—setting holiday schedules, pay rules, staffing expectations, and any temporary operational changes. It records effective dates, eligibility, compensation terms, and procedures for requesting or approving holiday time. When signed and retained, it provides clear governance for pay and staffing during holiday periods and can be executed electronically when parties satisfy ESIGN and applicable state electronic signature law requirements.

Why a Holiday Memorandum of Agreement Matters

A clear Holiday Memorandum of Agreement reduces disputes, aligns payroll and staffing, documents exceptions (closures, premium pay, shift swaps), and creates an auditable record. Properly executed, it supports consistent enforcement and protects both employer and employee expectations under federal and state employment rules.

Why a Holiday Memorandum of Agreement Matters

Who Typically Uses a Holiday Memorandum of Agreement

Common users include HR teams, union representatives, and small-business owners who need an operational record of holiday rules and pay practices.

  • Human resources managers and payroll administrators responsible for documenting holiday pay and processing instructions.
  • Union officials or employee representatives negotiating temporary holiday schedules or premium pay.
  • Small employers and third-party contractors clarifying holiday closures, deliverables, and staffing expectations.

The agreement is also used by third-party service providers and payroll vendors to confirm rates and processing instructions for holiday periods.

Core Elements to Include in the Agreement

A professional Holiday Memorandum of Agreement contains discrete sections so obligations are unambiguous, covering schedule, pay, exceptions, and administration.

Parties

Identify each party by legal name, role, and contact information so responsibility and service of notices are clear and enforceable.

Effective Date

State the effective date and, if applicable, the expiration or review date to determine when obligations and payroll treatments begin.

Holiday Schedule

List affected dates, hours, shifts, or windows and specify which positions or sites are covered by the arrangement.

Compensation Rules

Define premium pay, overtime calculation, holiday differentials, and any eligibility conditions for receiving holiday pay.

Staffing & Coverage

Document staffing expectations, on-call requirements, shift-swap procedures, and who is exempt or required to work.

Amendments & Disputes

Specify how changes are made, who can authorize amendments, and the mechanism for resolving disputes arising under the memorandum.

Step-by-Step: How to Complete the Memorandum

Follow these sequential steps to draft, review, and finalize a reliable Holiday Memorandum of Agreement.

  • 01
Draft terms: Populate parties, dates, pay rules, and staffing needs in clear language.

  • 03
Obtain approvals: Collect required signatures from authorized representatives and witnesses if needed.
  • 04
Distribute copies: Share executed copies with payroll, operations, and affected employees.

How to Configure an Electronic Workflow

Design a simple digital routing to ensure correct signing order, authentication, and storage of the final memorandum.
