HOME CLEANING PROPOSAL

WHEREAS

WHEREAS, Service Provider: is engaged in the business of residential cleaning services and offers the services described in this Proposal; and

WHEREAS, Client Name: is the owner or authorized occupant of the property located at: and desires to engage Service Provider to provide cleaning services in accordance with the terms set forth below; and

WHEREAS, Proposal Date: this Proposal sets forth the scope, fee, schedule, and contractual terms for the services to be provided.

SCOPE OF WORK

Service Provider shall perform residential cleaning services at the Property described above. Services shall include, at minimum, the tasks expressly enumerated below and any additional tasks expressly set forth in the Scope of Work textarea.

Dusting of surfaces and furniture

Vacuuming carpets and rugs

Mopping hard floors

Cleaning and sanitizing bathrooms

Cleaning and sanitizing kitchen surfaces and appliances (exterior)

PAYMENT TERMS

Client agrees to pay Service Provider the fees and charges described in this section. All fees are payable in United States currency and are exclusive of any applicable taxes unless otherwise stated.

All undisputed amounts not paid within days of the invoice due date shall accrue a late fee of % per month on the outstanding balance, or the maximum permitted by law, whichever is less. Client is responsible for reasonable collection costs for past-due balances.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement without cause by providing written notice at least days prior to termination. Service Provider may terminate immediately for nonpayment or for conduct by Client that poses a safety risk to personnel.

Upon termination, Client shall pay Service Provider for all services performed and expenses incurred through the effective date of termination. Prepaid, unearned fees shall be refunded within a reasonable period following termination, less any amounts owed for services performed.

CONFIDENTIALITY

Each party acknowledges that, in the course of performing this Agreement, it may obtain confidential information of the other party. "Confidential Information" means non-public information that a reasonable person would understand to be confidential. Each party agrees to (a) use Confidential Information only for purposes of performing its obligations under this Agreement; (b) restrict disclosure to employees or contractors who have a need to know and who are bound by confidentiality obligations; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential Information does not include information that is publicly available through no breach of this Agreement or independently developed without use of the other party's Confidential Information.

INDEMNIFICATION AND LIABILITY

Client shall indemnify and hold harmless Service Provider from claims arising from Client-provided hazards, unsafe conditions, or failure to disclose material facts about the property. Service Provider's liability for any claim arising under or relating to this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Service Provider in the prior six (6) month period. In no event shall Service Provider be liable for consequential, incidental, or punitive damages.

GOVERNING LAW

This Proposal and any resulting Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Proposal, when accepted by Client and signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any amendments or modifications must be made in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Proposal is held unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors; nothing in this Proposal creates an employment, partnership, or agency relationship. Neither party may assign its rights or obligations without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.
