HOME DECOR VANITIES AGREEMENT

This Home Decor Vanities Agreement ("Agreement") is entered into effective as of by and between Vendor Name: ("Vendor"), and Client Name: ("Client").

WHEREAS

WHEREAS, Vendor is engaged in the design, manufacture, finishing and installation of decorative bathroom and powder room vanities and associated millwork and finishes; and

WHEREAS, Client desires to retain Vendor to supply and, if elected, install custom vanities and related fixtures at the project location described below, subject to the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

PROJECT INFORMATION

SCOPE OF WORK

Vendor shall provide design, fabrication, finish, delivery and, if elected below, on-site installation of vanities and related millwork (the "Work") in accordance with the specifications set forth in this Agreement and any approved drawings or samples signed by both parties. Vendor's obligations include procurement of materials, quality control, and workmanship necessary to deliver completed vanities suitable for their intended residential purpose.

PAYMENT TERMS

The total contract price for the Work is $ (the "Contract Price"), subject to authorized change orders.

Late payments shall incur interest at a rate of percent per month on overdue amounts, or the maximum rate permitted by applicable law, whichever is lower. Client shall also be responsible for reasonable collection costs and any attorney's fees incurred to collect overdue sums.

DELIVERY, INSTALLATION AND ACCEPTANCE

Vendor will perform on-site installation in accordance with the Scope of Work. If installation is not included, Vendor's responsibility ends upon delivery.

Client shall inspect delivered goods upon arrival and shall have days to notify Vendor of any nonconformity or defects. Failure to timely notify Vendor constitutes acceptance, except for latent defects discoverable only after reasonable use.

WARRANTY

Vendor warrants that, for a period of months from the date of installation or delivery (if not installed), the vanities will be free from defects in materials and workmanship under normal residential use. Remedies under this warranty are limited, at Vendor's option, to repair or replacement of defective goods. This warranty does not cover damage due to misuse, improper installation by others, normal wear and tear, or alterations performed without Vendor's prior written consent.

CHANGE ORDERS

All changes to the Scope of Work, including design revisions, material substitutions or schedule changes, must be authorized by a written change order signed by both parties. Change orders may adjust the Contract Price and the schedule to reflect reasonable additional costs or delays.

TERMS; TERMINATION

This Agreement shall commence on the contract start date of and shall continue until completion of the Work or until the contract end date of , unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to termination. Either party may terminate immediately for material breach if the breaching party fails to cure within ten (10) days after receipt of written notice specifying the breach. Upon termination, Client shall pay Vendor for all Work performed and materials procured through the effective date of termination and for reasonable demobilization costs.

CONFIDENTIALITY

Each party acknowledges that it may receive Confidential Information from the other. "Confidential Information" means non-public information disclosed in connection with the Work, including designs, shop drawings, pricing, samples, and business terms. Recipient shall not disclose Confidential Information to third parties and shall use the same degree of care to protect the discloser's Confidential Information as it uses for its own confidential information, but in no event less than reasonable care. Confidentiality obligations shall continue for a period of months following termination of this Agreement, except for information that is or becomes public through no fault of the recipient.

INSURANCE AND INDEMNIFICATION

Vendor shall maintain general liability and workers' compensation insurance as required by applicable law and shall provide certificates of insurance upon reasonable request. Each party shall indemnify, defend and hold harmless the other from and against claims, liabilities, losses and expenses arising from the indemnifying party's negligence, willful misconduct or breach of this Agreement, except to the extent caused by the indemnified party's negligence or willful misconduct.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, special or punitive damages, and Vendor's aggregate liability for any claim arising from this Agreement shall not exceed the Contract Price paid by Client to Vendor for the Work that is the subject of the claim.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. The parties shall attempt to resolve disputes by good faith negotiation prior to pursuing litigation. The parties agree that any action to enforce this Agreement shall be brought in the state or federal courts located in the chosen governing state.

NOTICES

ENTIRE AGREEMENT

This Agreement, including any attached specifications, drawings and signed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral. No amendment or modification shall be binding unless made in writing and signed by both parties.
