HOME DESIGN LIVING ROOM AGREEMENT

RECITALS

WHEREAS, Client is the owner or lawful occupant of the premises described as: Project Address: and requires professional interior design services for the living room; and

WHEREAS, Designer is engaged in the business of providing residential interior design services and represents that Designer has the experience and ability to perform the services described in this Agreement; and

WHEREAS, Client and Designer desire to set forth the terms and conditions under which Designer will provide living room design services for Client.

SCOPE OF WORK

Designer shall provide interior design services specifically for the living room area at the Project Address. Services shall include, without limitation: concept development, space planning, selection of materials, finishes, furniture, lighting, color palette, and two rounds of revisions to the proposed design. Specific dimensions or features:

PAYMENT TERMS

Total Design Fee: . Client shall pay the Total Design Fee in accordance with the schedule below.

Late Payment: Unpaid amounts shall incur a late fee of % per month (or the maximum permitted by law) on outstanding balances from the date due until paid. In addition, Designer may suspend performance until all past-due amounts are paid in full.

Reimbursable Expenses: Client shall reimburse Designer for pre-approved expenses incurred on Client's behalf (e.g., sample purchases, delivery, contractor consultations). Reimbursable expenses shall be invoiced monthly and are due upon receipt.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the intended termination date. Termination for cause shall be permitted where the other party materially breaches this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information and materials disclosed by the other party that are identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that (i) is or becomes publicly known through no breach of this Agreement; (ii) was in the receiving party's possession prior to receipt from the disclosing party; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without use of Confidential Information.

The receiving party shall use Confidential Information solely to perform its obligations under this Agreement and shall take reasonable measures to protect such Confidential Information. Breach of confidentiality shall entitle the non-breaching party to injunctive relief in addition to any other remedies at law or in equity.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that State for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or schedules signed by the parties, constitutes the entire agreement between Client and Designer with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendments or modifications must be in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

Independent Contractor: Designer is an independent contractor and not an employee, agent, or partner of Client. Nothing in this Agreement shall create an employment relationship or joint venture between the parties.

Assignability: Neither party may assign this Agreement without the prior written consent of the other, except that Designer may assign this Agreement to an affiliate or in connection with a merger or sale of substantially all of Designer's assets.
