RECITALS

WHEREAS, Contractor: is engaged in the business of exterior home improvement and holds all required licenses and insurance to perform the work described in this Quote; and

WHEREAS, Client: is the owner or authorized agent of the property located at the Project Address and desires to retain Contractor to perform exterior improvement services in accordance with the terms and conditions set forth in this Quote; and

WHEREAS, Contractor has provided Client with a cost estimate and scope of work and Client desires to accept the terms of the estimate subject to the conditions in this Quote.

SCOPE OF WORK

Contractor shall perform the exterior work described below at the Project Address. The work shall include labor, materials, equipment, and services necessary to complete the described items in a professional manner in accordance with industry standards.

Either party may terminate the work upon written notice if the other party materially breaches a material obligation and fails to cure within after receipt of such notice. Upon termination, Client shall pay Contractor for work performed, materials purchased, and reasonable demobilization costs.

CONFIDENTIALITY

Contractor and Client agree that any non-public pricing, proprietary estimates, trade secrets, and project-specific methodologies disclosed in connection with this Quote shall be held confidential and shall not be disclosed to third parties without prior written consent, except as required by law. This obligation shall survive termination or acceptance of the Quote for a period of two years.

CHANGES AND EXTRA WORK

Any changes to the Scope of Work or additional work shall be authorized in writing by Client and Contractor through a change order specifying adjusted price and schedule. Contractor shall not be required to perform extra work without a signed change order.

GOVERNING LAW

This Quote and any resulting contract shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Quote, together with any accepted change orders and written attachments expressly incorporated herein, constitutes the entire agreement between Client and Contractor with respect to the subject matter and supersedes all prior negotiations and understandings. No amendment shall be effective unless in writing and signed by both parties.

NOTICES

All notices required under this Quote shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by written notice. Notice shall be effective on receipt.

By signing below, the parties acknowledge acceptance of this Quote, the Scope of Work, Payment Terms, and all provisions contained herein. Acceptance constitutes authorization for Contractor to proceed per the agreed schedule upon receipt of any required deposit.
