WHEREAS

WHEREAS, Contractor is engaged in the business of installing, repairing and replacing residential gutters, downspouts and associated components using trade materials and methods consistent with industry standards; and

WHEREAS, Homeowner desires to retain Contractor to perform the gutter improvement work described in this Agreement at the Project Location on the terms and conditions set forth herein; and

WHEREAS, the parties intend for this Agreement to set forth the complete understanding of their respective rights and obligations with respect to the work described below.

SCOPE OF WORK

Materials to be provided by Contractor shall conform to industry standards and be new unless otherwise agreed. Contractor shall install gutters, downspouts and fasteners, perform flashing where required, and make reasonable attempts to match existing rooflines and drainage patterns. Any deviations, additional repair to fascia or soffit, or discovery of concealed damage will be addressed by written change order in accordance with the Change Order procedure below.

PAYMENT TERMS

Retainage: will be withheld from final payment pending final inspection and acceptance. Final payment is due upon completion and acceptance of the Work and receipt of any required lien waivers and releases.

Late Payment: Any undisputed amount not paid within days of invoice shall accrue a late fee of per month (or the maximum permitted by law), together with costs of collection, including attorneys' fees.

TERM AND TERMINATION

Commencement of Work: Work shall commence on or about and is estimated to be completed by , subject to adjustments for weather, change orders, permits or other excusable delays.

Termination: Either party may terminate this Agreement for cause upon written notice if the other party materially breaches any obligation and fails to cure within days after receipt of written notice. Homeowner may terminate for convenience upon days' written notice; in such event Contractor shall be paid for all Work performed and materials ordered plus reasonable demobilization costs.

WARRANTY

Contractor warrants that materials and labor furnished under this Agreement shall be free from defects for a period of months from the date of final acceptance. This warranty does not cover damage resulting from acts of God, owner negligence, subsequent modifications by others, or improper maintenance.

INDEMNIFICATION AND LIENS

Indemnification: Contractor agrees to indemnify and hold harmless Homeowner from claims, liabilities or damages arising from Contractor's negligent performance of the Work, except to the extent caused by Homeowner's negligence. Contractor shall maintain workers' compensation and general liability insurance as set forth above.

Mechanic's Liens: Contractor will not file a mechanic's lien against the property except as permitted by applicable law. Contractor shall, upon payment in full, execute and deliver unconditional lien waivers from Contractor and major suppliers as requested by Homeowner.

CONFIDENTIALITY

Each party agrees to keep confidential and not disclose to third parties the other party's non-public business information, pricing, product specifications, or trade practices learned in connection with this Agreement, except as required by law or to enforce the terms of this Agreement.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice-of-law rules. The parties agree to make a good faith effort to resolve disputes by negotiation prior to initiating litigation; if unresolved, any legal action shall be brought in the courts of the governing state.

ENTIRE AGREEMENT

This Agreement, including any written change orders and attachments signed by both parties, constitutes the entire agreement between the parties with respect to the Work and supersedes all prior discussions, proposals and agreements. No amendment will be effective unless in writing and signed by both parties.
