HOME IMPROVEMENT AGREEMENT — POWDER BATH

This Home Improvement Agreement (Agreement) is made as of by and between:

WHEREAS

WHEREAS, Client desires to engage Contractor to perform certain home improvement services consisting of renovation of a powder bath including, but not limited to, plumbing fixtures, tile work, cabinetry, finishes and associated electrical work as set forth in the Scope of Work; and

WHEREAS, Contractor represents that it is duly qualified, licensed, and equipped to perform such work in a professional manner in accordance with applicable building codes and industry standards; and

WHEREAS, the parties intend by this Agreement to set forth the terms and conditions governing the performance of the work, payment, warranties, and other obligations and remedies.

SCOPE OF WORK

Contractor shall furnish all labor, materials, equipment and supervision necessary to complete the powder bath renovation described below at the Project Address in a workmanlike manner consistent with industry standards and applicable codes.

Late Payment Fee: A late fee of % per month (or the maximum permitted by law) shall be applied to overdue balances. Client shall also be responsible for collection costs and reasonable attorneys' fees if payment is collected through legal action.

CHANGE ORDERS

Any alteration or deviation from the Scope of Work that results in an increase or decrease in the contract sum or time shall be performed only pursuant to a written change order signed by both parties. Contractor shall not be required to proceed with any change requested orally by Client.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within calendar days after receipt of written notice specifying the breach. Termination for convenience by Client may be allowed subject to payment for work performed, materials purchased, and reasonable termination costs.

PERMITS AND INSPECTIONS

Contractor shall obtain all required permits and arrange inspections unless otherwise agreed in writing. Costs for permits shall be and shall be itemized in invoices.

INSURANCE AND WARRANTY

Contractor shall maintain general liability insurance and workers' compensation coverages as required by law. Upon request, Contractor will provide certificates of insurance demonstrating coverage limits.

Warranty: Contractor warrants workmanship for a period of from the date of completion. Warranty excludes normal wear and tear, damage caused by misuse, settling, or defects in materials provided by Client.

CONFIDENTIALITY

Each party shall treat as confidential and shall not disclose to third parties any non-public information received from the other party in connection with this Agreement, except as required by law or as necessary to perform obligations under this Agreement. Confidential information does not include information that is or becomes generally known without breach of this Agreement.

INDEMNITY AND LIMITATION OF LIABILITY

Contractor shall defend, indemnify and hold Client harmless from third-party claims arising from Contractor's negligent acts or omissions in performing the Work. Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental or punitive damages.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

DISPUTE RESOLUTION

The parties shall first attempt to resolve disputes through good-faith negotiation. If negotiation fails, the parties agree to submit the dispute to mediation. If mediation does not resolve the dispute, the parties may pursue any remedy available at law or in equity in the courts located in the state identified above.

NOTICES

ENTIRE AGREEMENT

This Agreement, including all attachments, schedules and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements, representations and understandings. Any amendment or modification must be in writing and signed by both parties.

SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
