Recitals

WHEREAS, Contractor is duly engaged in the business of providing residential improvement, repair and installation services, and represents that Contractor has the skill, experience and personnel required to perform the work described below; and

WHEREAS, Client desires to obtain a written quote setting forth the scope, price estimate, schedule and terms under which Contractor may perform specified home improvement work at the Client premises; and

WHEREAS, Contractor has prepared and provided to Client the estimate set forth in this document and agrees to perform the work if accepted in accordance with the terms of this Quote.

Scope of Work

The Contractor shall perform the following work at the Client premises in a professional and workmanlike manner consistent with industry standards. The description below is specific to the tasks, materials and standards to be employed. Any material substitutions or deviations require written change order signed by both parties.

Itemized Estimate

Complete itemization of labor, materials and other charges. Client and Contractor may add additional line items by mutual written agreement.

Payment Terms

Unless otherwise agreed in writing, Client shall pay Contractor as set forth below. All amounts are due in U.S. dollars. Payment schedule, deposit and late fee provisions are contractual and binding upon acceptance of this Quote.

Term and Termination

This Quote, upon Client acceptance, will form the basis for a Work Order or Contract. Estimated start and completion dates are provided for planning purposes and are not firm except where a firm completion date is expressly written below.

Contractor or Client may terminate the work for material breach if the breaching party fails to cure within the notice period above. In the event of termination for cause, Contractor shall be entitled to payment for all work performed, materials purchased and reasonable demobilization costs through the termination date.

Confidentiality

The parties acknowledge that this Quote, including plans, specifications, pricing, and proprietary methods, constitutes confidential business information of the Contractor and/or Client. Neither party shall disclose such information to third parties without prior written consent, except as required by law or to subcontractors and suppliers who are bound to maintain confidentiality for purposes of performing the work.

Change Orders

Any changes to the Scope of Work, materials, or schedule shall be documented in a written change order signed by both parties. Change orders may alter the price and schedule and are not effective until executed by both Client and Contractor.

Governing Law

This Quote shall be governed by and construed in accordance with the laws of the state specified below without regard to conflicts of law principles.

Entire Agreement

This Quote, together with any accepted change orders and attachments signed by the parties, constitutes the entire agreement between Client and Contractor with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. No waiver, modification or amendment shall be binding unless in writing and signed by both parties.

Acceptance

By signing below, Client accepts this Quote and authorizes Contractor to schedule and perform the work described herein in accordance with the terms and conditions set forth above. Acceptance constitutes a binding obligation to pay the amounts and comply with the obligations herein.
