Recitals

WHEREAS, Client Name: is the owner or authorized occupant of the property identified above; and

WHEREAS, Contractor Name: is duly licensed and engaged in the business of roof repair and maintenance and has submitted this estimate to provide the services described below; and

NOW, THEREFORE, Client hereby requests and Contractor proposes to perform the work set forth in this Estimate & Service Agreement in accordance with the terms and conditions contained herein.

Scope of Work

Contractor shall perform roof repair services at the Property Address identified above. A detailed description of the work to be performed is provided below. Contractor shall furnish all labor, materials, equipment, and supervision required to complete the work in a workmanlike manner consistent with industry standards.

Payment Terms

Client agrees to pay Contractor for work performed in accordance with this estimate under the following payment schedule. All sums are stated in lawful currency.

Late Payment: Any undisputed amount not paid when due shall bear interest at or the maximum rate permitted by law, whichever is less. Client will be responsible for reasonable collection costs, including attorneys' fees and court costs, for collection of overdue sums.

Term and Termination

This Agreement commences on the date accepted by Client and continues until completion of the Scope of Work unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach by the other if the breach remains uncured after written notice and the applicable notice period above. Termination does not relieve Client of the obligation to pay for all services performed and materials procured prior to the effective date of termination.

Permits, Insurance and Safety

Contractor shall be responsible for obtaining any required permits, unless otherwise agreed in writing. Contractor represents that it maintains workers' compensation and liability insurance in amounts customary for roofing contractors and shall provide proof of insurance upon reasonable request. Contractor will adhere to applicable safety standards during performance of the work.

Warranty and Exclusions

Contractor warrants workmanship for a period of from completion. Manufacturer warranties for materials, if any, are passed through to Client and governed by the manufacturer's terms. This estimate expressly excludes concealed damage not visible at the time of inspection unless separately agreed in writing.

Confidentiality

Each party shall keep confidential the non-public business information of the other party disclosed in connection with this Agreement and shall not disclose such information except as required by law, court order, or with the disclosing party's prior written consent. This obligation survives termination of this Agreement for a period of two years.

Liability and Indemnification

To the fullest extent permitted by law, Contractor shall indemnify and hold Client harmless from claims arising from Contractor's negligence in performance of the work. Client shall indemnify and hold Contractor harmless for claims resulting from Client's acts or omissions or pre-existing conditions not disclosed prior to commencement of work. Contractor's liability for any claim arising out of performance under this Agreement shall not exceed the total contract price, except for liability resulting from gross negligence or willful misconduct.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Parties agree that disputes should first be addressed through good faith negotiation; if unresolved, the dispute may be submitted to binding arbitration in the county or municipality where the property is located, unless binding arbitration is prohibited by applicable local law.

Entire Agreement

This document, together with any attachments and authorized change orders signed by both parties, constitutes the entire agreement between Client and Contractor with respect to the subject matter hereof and supersedes all prior representations, negotiations, and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.

Estimate Validity and Authorization

This estimate is valid for days from the date of estimate unless extended in writing. Client authorizes Contractor to proceed with the work upon signing this document and payment of any required deposit in accordance with the Payment Terms.
