WHEREAS, Client desires to obtain an estimate and enter into a contract for the supply and installation of replacement or new windows at the Client property described above; and

WHEREAS, Contractor represents that it is duly licensed, insured, and qualified to perform the work described herein and will perform such work in accordance with industry standards and applicable law; and

WHEREAS, the parties agree that the following estimate, scope, payment terms and conditions shall govern the work if Client accepts this estimate by signature below.

Scope of Work

Work includes removal and disposal of existing windows as specified, supply and installation of new windows, exterior and interior finishing as required, and cleanup. Any deviation from the described scope will require a written change order and may alter price and schedule.

Payment Terms

Client agrees to pay Contractor in accordance with the following schedule. All amounts are due in U.S. dollars unless otherwise stated. Payments received after the due date are subject to the late fee described below.

Late Fee: applied to unpaid balances after 30 days. Client is responsible for collection costs, including reasonable attorney fees, if payment enforcement is required.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within days after written notice. Termination by Client without cause may require payment for work completed and documented costs incurred.

Change Orders

All changes to the scope, materials, or schedule must be made by written change order signed by both parties. Change orders may affect price and completion schedule. Verbal authorizations are not binding unless confirmed in writing.

Permits, Inspections & Access

Unless otherwise agreed, Client is responsible for obtaining and paying for required permits and inspections. Contractor will cooperate with permit-related inspections and provide documentation of work as reasonably requested. Client shall provide reasonable access to the premises for performance of the work.

Warranty & Limitation of Liability

Contractor warrants workmanship for a period of from completion. Manufacturer warranties for materials shall be assigned to Client when transferable. Contractor's liability for claims arising from this Agreement shall be limited to the total contract price, except for gross negligence or willful misconduct.

Confidentiality

Each party shall keep confidential all non-public information received from the other in connection with this Estimate and shall not disclose such information to third parties except as necessary to perform this Agreement, to comply with applicable law, or with prior written consent. This obligation shall survive termination or completion of the work.

Governing Law & Entire Agreement

This Estimate and any subsequent contract resulting from Client's acceptance shall be governed by the substantive laws of the state in which the property is located, without regard to its conflicts of law principles.

This document constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, communications, and agreements, whether written or oral. Any modification must be in writing and signed by both parties.
