Confidentiality

Each party shall treat the other party's non-public business information, pricing, trade secrets, and customer information disclosed in connection with this Agreement as confidential and shall not disclose such information to third parties except as required by law or necessary to perform the Work. Confidential information shall not include information that is or becomes publicly available other than through a breach of this Agreement.

Indemnity

Contractor shall indemnify and hold Client harmless from claims, damages, losses and expenses (including reasonable attorneys' fees) arising out of Contractor's negligent performance of the Work, to the extent caused by Contractor's acts or omissions. Client shall indemnify Contractor for injuries or damages arising from Client's negligence or breach of this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state where the Project Address is located. The parties shall attempt in good faith to resolve disputes through negotiation. If unresolved, disputes shall be resolved by binding arbitration or in a court of competent jurisdiction as selected by the prevailing party, consistent with applicable law.

Entire Agreement; Severability

This Agreement, together with any Change Orders and attachments signed by both parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior oral or written agreements. If any provision is held invalid or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect.

Client expressly authorizes Contractor to proceed with the Work upon receipt of the deposit and a signed copy of this Agreement.
