RECITALS

WHEREAS, Contractor is duly licensed and experienced in the removal and replacement of residential windows, and represents it has the skill, personnel, and equipment necessary to perform the work described herein; and

WHEREAS, Client desires to engage Contractor to perform a window replacement project at the Project Address in accordance with the terms and conditions of this Agreement;

WHEREAS, the parties intend that Contractor complete the work in a workmanlike manner in accordance with applicable building codes, manufacturer instructions, and this Agreement.

PROJECT IDENTIFICATION

SCOPE OF WORK

Contractor shall furnish all labor, materials, equipment, and supervision necessary to perform the window replacement work at the Project Address. Work includes removal of existing windows, preparation of openings, flashing, installation of new windows in accordance with manufacturer instructions, exterior and interior finishing required to restore surfaces to like condition, and cleanup. Specific tasks, quantities, and special instructions are set forth below or as attached.

PERMITS, INSPECTIONS & COMPLIANCE

Contractor will obtain and pay for all permits required for performance of the work unless the parties agree otherwise in writing. Contractor will comply with applicable building codes, ordinances and manufacturer installation requirements. Client shall provide reasonable access and coordinate inspections as required by authorities having jurisdiction.

PAYMENT TERMS

Final payment is due upon substantial completion and acceptance of the work by Client. All payments shall be made to Contractor at the address provided unless otherwise agreed in writing. Applicable sales tax:

Late Payment: Any amount not paid when due shall accrue a late fee of % per month on the unpaid balance, or the maximum allowed by law, whichever is less. Client shall also be responsible for reasonable collection costs and attorney fees incurred by Contractor in enforcing payment obligations.

CHANGES / CHANGE ORDERS

Any changes to the Scope of Work shall be documented in a written change order signed by both parties specifying the change, the adjustment to the Contract Price, and any adjustment to the schedule. Contractor will not be required to perform extra work without an approved change order.

WARRANTIES, INSURANCE & INDEMNITY

Contractor warrants that work will be performed in a workmanlike manner for a period of year(s) from completion, subject to manufacturer warranties for materials. This warranty does not cover damage due to misuse, acts of God, settlement, or alterations by others.

Contractor shall maintain liability and worker's compensation insurance as required by law. Upon written request, Contractor will provide certificates of insurance. Each party shall indemnify, defend and hold the other harmless from claims arising solely from its negligence or willful misconduct.

TERM AND TERMINATION

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within days after written notice. In the event of termination, Client shall pay Contractor for work performed and materials ordered up to the date of termination, plus reasonable demobilization costs.

CONFIDENTIALITY

Each party agrees that non-public business information obtained in connection with this Agreement shall be kept confidential for a period of years, except as required by law or to enforce rights under this Agreement. Confidential information does not include information that is or becomes publicly available other than through a breach of this provision.

DISPUTE RESOLUTION

The parties shall attempt in good faith to resolve disputes arising out of this Agreement by negotiation. If negotiation fails, the parties agree to non-binding mediation. If mediation does not resolve the dispute, the parties agree to binding arbitration administered in the county in the Governing Law state specified below, unless otherwise mutually agreed.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any written change orders executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. No amendment shall be binding unless in writing and signed by both parties.
