LIMITATIONS, EXCLUSIONS AND CLIENT OBLIGATIONS

The inspection is limited to visible and accessible conditions at the time of inspection. The Inspector does not perform code compliance checks, warranty or guarantee future performance, destructive testing, or the prediction of future conditions. The inspection does not uncover latent conditions or concealed defects that are not reasonably observable without destructive measures.

Client acknowledges responsibility to provide access to all areas, utilities turned on, and to remove obstacles impeding inspection. If utilities are off or access is restricted, the Inspector may suspend the inspection and additional fees may apply.

The inspection report is prepared exclusively for the Client identified in this Agreement. Redistribution, publication, or reliance by third parties is prohibited without the written consent of the Inspector. The Client may disclose the report to parties with a direct financial interest in the property transaction.

LIMITATION OF LIABILITY

The Inspector's liability for any claim arising out of this Agreement, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount paid by the Client to the Inspector for the inspection. Under no circumstances shall the Inspector be liable for loss of use, lost profits, or consequential or punitive damages.

INDEMNIFICATION

The Client agrees to indemnify, defend and hold the Inspector harmless from and against any and all claims, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from Client's failure to disclose material facts, from Client's misuse of the report, or from any third-party claims arising out of the Client's use of the report.

DISPUTE RESOLUTION & GOVERNING LAW

Any dispute arising from this Agreement shall be resolved first by good faith negotiation. If unresolved, the dispute shall be submitted to binding arbitration in accordance with the rules of the parties' chosen arbitration body. This Agreement shall be governed by the laws of the State of excluding its choice-of-law rules.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior discussions, negotiations, and agreements. Any modification must be in writing and signed by both parties.
