RECITALS

WHEREAS, Client desires an assessment for the presence of mold, mold spores, and conditions conducive to fungal growth at the premises described below (Premises); and

WHEREAS, Inspector is duly qualified and experienced to perform visual mold inspections, collect environmental samples where authorized, and deliver laboratory analysis and a written report pursuant to the terms of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the inspection services to be performed.

PREMISES AND SCOPE OF SERVICE

The inspection will include a visual assessment of accessible areas, identification of apparent mold growth, moisture intrusion sources, and, if requested, collection of environmental samples for laboratory analysis. The Inspector is not obligated to perform destructive testing except as specifically authorized in writing.

Collected samples will be submitted to an independent laboratory selected by the Inspector. Laboratory analysis is governed by the laboratory's procedures; the Inspector makes no warranty as to laboratory methods or results.

PAYMENT TERMS

Late payment: unpaid amounts past the due date shall accrue interest at or the maximum allowed by law, whichever is less.

Additional costs such as laboratory fees, travel beyond a specified radius, access equipment rental, or specialized sampling will be billed separately and are due upon receipt of invoice.

Either party may terminate this Agreement for material breach upon written notice if the breach remains uncured after days. Termination shall not relieve the Client of obligations to pay for services performed and expenses incurred prior to termination.

CONFIDENTIALITY

Inspector will treat information obtained in the course of the inspection as confidential and will not disclose such information to third parties except (a) as required by law, (b) for laboratory analysis, (c) with Client's written consent, or (d) to qualified remediation professionals for the purpose of obtaining remediation quotes if authorized by Client. Confidentiality obligations shall survive termination of this Agreement for a period of two years.

LIMITATIONS, WARRANTIES, AND LIABILITY

The inspection and any report are limited to the conditions observed at the time of inspection and accessible, non-destructive areas. The Inspector makes no representations or warranties regarding latent conditions, remediation effectiveness, or future mold growth. Client acknowledges that detection of all mold species and all contamination may not be possible in a single inspection.

Limitation of liability: To the fullest extent permitted by law, Inspector's liability for claims arising out of or relating to this Agreement is limited to direct damages not to exceed the total fees paid by Client under this Agreement. In no event shall Inspector be liable for consequential, incidental, special, punitive, or exemplary damages.

Client agrees to indemnify and hold Inspector harmless from claims, liabilities, or expenses arising from Client's failure to disclose material facts, from pre-existing conditions, or from actions of third parties subsequent to the inspection.

ACCESS, SAFETY, AND OCCUPANT RESPONSIBILITIES

Client shall provide safe access to all areas to be inspected and shall disclose known safety hazards. Inspector may refuse to inspect areas that are unsafe. Client is responsible for ensuring occupants, including pets, are secured and that utilities are available when required for inspection procedures.

REPORTING

The Inspector will provide a written report summarizing findings, including photographic documentation of observed conditions and laboratory results (if applicable). Delivery of raw laboratory data is subject to the laboratory's policies.

CANCELLATION; RESCHEDULING

Client may cancel or reschedule without penalty if notice is provided at least hours prior to the scheduled inspection. Cancellations within that period or failure to provide access may result in a cancellation fee equal to or retention of deposit.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to choice-of-law principles.

Any dispute arising under this Agreement shall first be submitted to good-faith negotiation between the parties. If unresolved, disputes shall be resolved by binding arbitration conducted in the county where the Premises are located, or as otherwise agreed in writing.

ENTIRE AGREEMENT

This Agreement, together with any attachments and the Inspector's accepted proposal or invoice, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior negotiations and understandings. No amendment shall be binding unless in writing and signed by both parties.

SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
