WHEREAS, Organizer represents that it possesses the skill, experience, and personnel required to perform the services described in this Agreement and will perform such services in a professional manner in accordance with industry practices.

WHEREAS, the parties wish to set forth the terms and conditions that will govern the performance, payment, confidentiality, and other matters relating to the services provided hereunder.

Scope of Work

Organizer shall provide the services, labor, materials, and coordination necessary for the organization and improvement of the mudroom as described below. Parties may attach a separate itemized plan as an attachment to this Agreement; in the absence of an attachment, the scope described here controls.

Payment Terms

Late Payment: Unpaid amounts not received within days after invoice are subject to a late fee of % per month on the outstanding balance, or the maximum permitted by applicable law, whichever is less.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least prior to the intended termination date. Termination for cause may be immediate where a material breach is not cured within seven (7) days of written notice.

Confidentiality

Each party shall treat as confidential all non-public business information and any personal information of the other party obtained in connection with this Agreement. Confidential information shall not be disclosed except as required by law or with prior written consent. Confidential information shall not include information that (i) is or becomes public through no fault of the receiving party, (ii) was rightfully in the receiving party’s possession prior to disclosure, or (iii) is independently developed without use of the disclosing party’s confidential information.

Insurance and Liability

Organizer shall maintain general liability insurance in an amount sufficient for the type of work performed and shall provide proof of insurance upon Client request prior to commencement. Organizer’s liability for damages arising out of Organizer’s performance shall be limited to direct damages not to exceed the Total Fee paid under this Agreement. In no event shall either party be liable for consequential, incidental, or punitive damages except where required by law.

Change Orders

Any changes to the Scope of Work shall be documented in a written change order describing the change, the effect on price, and the effect on schedule. No change order is effective until signed by both parties. Organizer shall promptly notify Client of any conditions discovered during performance that may require change orders.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles.

This Agreement, together with any attachments and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, understandings, or representations. No amendment shall be effective unless in writing and signed by both parties.
