HOME SECURITY SYSTEM AGREEMENT

This Home Security System Agreement (the Agreement) is entered into as of by and between:

RECITALS

WHEREAS, Provider is engaged in the business of supplying, installing, configuring and monitoring residential security systems and related services; and

WHEREAS, Client desires to engage Provider to furnish and install a home security system, and Provider agrees to provide such system and services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend for this Agreement to define the scope, payment, term, confidentiality and other rights and obligations between them.

SCOPE OF WORK

Provider will supply, install, program and test the security system and associated equipment at the Client premises described above. Provider will perform work in a professional manner and in accordance with applicable industry standards. Specific services and equipment to be provided are described below.

PAYMENT TERMS

Client shall pay Provider for the equipment, installation and services as follows. All amounts are in U.S. dollars.

If any payment is not received by Provider within days after the due date, Client shall pay a late fee equal to of the overdue balance, plus interest to the extent permitted by law.

TERM AND TERMINATION

This Agreement commences on the Start Date and will continue until the End Date unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience by providing written notice to the other party at least days prior to the effective termination date. Termination by Client prior to completion of installation or the expiration of the term may subject Client to an early termination fee as described below.

CONFIDENTIALITY

Each party acknowledges that in the performance of this Agreement it may receive or have access to Confidential Information of the other party. “Confidential Information” includes install plans, security codes, alarm configurations, customer account information, pricing and other non-public information. Each party shall hold the other’s Confidential Information in strict confidence and shall not disclose it to any third party except as required to perform obligations under this Agreement or as required by law. The obligations of confidentiality survive termination of this Agreement for a period of three (3) years.

EQUIPMENT OWNERSHIP AND MAINTENANCE

Unless otherwise agreed in writing, title to equipment provided under this Agreement passes to Client upon full payment. Provider warrants that equipment installed is free from material defects in workmanship and materials under normal use for a period described in the equipment warranty provided at installation. Provider may offer optional maintenance and monitoring plans which, if purchased, will be documented separately and incorporated by reference.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, in no event shall either party be liable for incidental, consequential, punitive or special damages. Provider’s aggregate liability for claims arising under this Agreement shall not exceed the total amounts paid by Client to Provider under this Agreement during the twelve (12) month period preceding the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits, schedules and written change orders signed by both parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above by certified mail, overnight courier, or personal delivery and shall be effective upon receipt.
