DEFAULT, REMEDIES AND TERMINATION

If Seller fails to deliver the HOA documents or estoppel within the time periods specified in this Addendum, Buyer may elect, as its sole and exclusive remedies, to (a) extend the closing for a reasonable period to allow delivery; (b) waive timely delivery and proceed to closing; or (c) terminate the Purchase Agreement by written notice to Seller and receive a full refund of any earnest money. If Buyer terminates based on the HOA Review Period objection rights, Buyer’s termination notice must be delivered prior to the expiration of that period.

MISCELLANEOUS

This Addendum constitutes the entire HOA-related agreement between the parties with respect to the Property and supersedes any prior oral or written HOA representations.
