Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within after receipt of written notice specifying the nature of the breach. Termination does not relieve the Recipient of obligations accrued prior to termination.

CONFIDENTIALITY

The parties agree that any non-public information disclosed by one party to the other in connection with this Agreement, including proposals, pricing, plans, specifications, and other proprietary materials, shall be treated as confidential and shall not be disclosed to third parties without the prior written consent of the disclosing party, except as required by law. Confidential information shall remain the property of the disclosing party and shall be returned or destroyed upon request.

INSURANCE, PERMITS, AND COMPLIANCE

The Recipient shall procure and maintain all necessary permits, licenses, and insurance required by applicable law for performance of the work. The Recipient shall perform work in compliance with all applicable laws, Association covenants, conditions and restrictions, and any Association architectural guidelines, and shall provide certificates of insurance upon request.

LIMITATION OF LIABILITY

Except to the extent caused by a party's gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, special or punitive damages. The total liability of either party for any claim arising under this Agreement shall not exceed the total amount paid or payable under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its choice of law rules.

ENTIRE AGREEMENT

This Letter of Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.
