What a Homeowners Association Renewal Proposal Is

A Homeowners Association Renewal Proposal is a formal document prepared by an HOA board, manager, or authorized agent proposing the terms to renew a contract, service agreement, budget allocation, or common-area program for the upcoming term. It summarizes scope, costs, timeline, and required approvals so members and decision-makers can assess changes before a vote or execution. The proposal often accompanies financial exhibits, vendor quotes, and compliance items and is used to document the board’s rationale for renewal decisions and the recommended course of action.

Why a Clear Renewal Proposal Matters

A well-structured renewal proposal clarifies obligations, aligns budgeting, and documents the record for member votes and audits.

Why a Clear Renewal Proposal Matters

Who Prepares and Reviews Renewal Proposals

Typical participants include HOA boards, property managers, legal counsel, and affected vendors.

  • Board members and officers who must approve terms and certify compliance with covenants and bylaws.
  • Property managers who draft the proposal, assemble supporting exhibits, and coordinate member communications.
  • Legal counsel and accountants who review contract language, budget impact, and statutory requirements.

Clear role delineation speeds review and reduces the risk of procedural challenges during member voting and record audits.

Step-by-Step: Preparing and Executing a Renewal Proposal

Follow these steps to create, circulate, approve, and archive a compliant HOA renewal proposal in sequence.

  • 01
Draft: Assemble scope, pricing, and exhibits; confirm vendor terms.
  • 02
Legal Review: Have counsel check governing documents and statutory compliance.
  • 03
Member Notice: Distribute proposal and notice per bylaws and state notice rules.
  • 04
Approval and Record: Document vote results, signatures, and store the final executed file.

Preparation Window:

Prepare the proposal 45–90 days before renewal.

Member Review Period:

Provide 14–30 days for member review and comment.

Board Approval Deadline:

Schedule board vote at least 7 days before contract execution.

Vendor Notice:

Notify vendor of renewal decision per contract terms.

Effective Date:

State the date services or contract renew obligation begins.

Key Milestones From Draft to Execution

Track these sequential milestones to meet governance, vendor, and member requirements before the renewal becomes effective.

01

Draft Completed

Proposal and exhibits assembled and internal review ready.

02

Legal Review Complete

Counsel signs off on compliance and risk items.

03

Member Notice Issued

Proposal distributed per bylaws and notice rules.

04

Execution and Archive

Authorized signatures obtained and file stored.

Common Preparation Errors to Avoid

  • Missing authorization language in the proposal that contradicts bylaws and leads to invalid approvals or member challenges.
  • Vague scope descriptions that produce disputes later over deliverables, timing, or excluded services between HOA and vendor.
  • Failure to attach required insurance or licensing certificates, which can delay execution and increase vendor risk.
  • Late distribution of the proposal, shortening member review time and exposing the HOA to procedural or quorum disputes.

Consequences of an Incorrect or Incomplete Proposal

Contract Voidability: Risk of vote being invalid
Financial Exposure: Unexpected costs or assessments
Insurance Gaps: Uninsured liabilities possible
Regulatory Fines: Local penalties for noncompliance
Member Litigation: Increased dispute likelihood
Delayed Services: Service interruption or penalty fees
