Recitals

WHEREAS, Hotel operates lodging, meeting and event facilities and has the capacity to provide guest rooms, meeting space, food and beverage and related services for events and transient guests; and

WHEREAS, Client desires to reserve and contract for certain guest rooms, meeting space and services for the event described below and Hotel is willing to provide such rooms and services under the terms and conditions of this Agreement.

WHEREAS, the parties intend that this Agreement establish the obligations of each party with respect to room blocks, meeting space, services, payment and termination.

Scope of Work

Hotel shall provide to Client the facilities and services described below in a professional manner consistent with hospitality industry standards. Specific services, staffing levels, equipment, set-up times and responsibilities shall be set forth in the Scope of Work.

Payment Terms

Client shall pay Hotel the fees set forth in this section for rooms, meeting space, food and beverage, audio/visual and other services. All amounts are due in United States dollars and are exclusive of applicable taxes and service charges unless otherwise stated.

Late payments shall incur interest at percent per month on past due balances, or a late fee of whichever is greater, from the due date until paid in full.

Term and Termination

This Agreement commences on and shall terminate on unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the Notice Period following written notice. Hotel may cancel or reduce the room block if Client fails to timely pay deposit or other amounts due pursuant to the Payment Terms. No termination for convenience by Client will be effective without payment of applicable cancellation charges as set forth above.

Confidentiality

Each party shall keep confidential all non-public business information and trade secrets of the other party disclosed in connection with this Agreement ("Confidential Information"). Confidential Information shall not include information that is or becomes generally available to the public other than by breach of this Agreement, or that is rightfully obtained by the receiving party from a third party without restriction. The receiving party shall use Confidential Information only for the purposes of performing its obligations under this Agreement and shall not disclose such information to any third party except to its employees, agents or contractors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. The parties consent to the exclusive jurisdiction and venue of the courts located in for the resolution of disputes arising under this Agreement, subject to any mutually agreed dispute resolution procedures set forth herein.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party and its affiliates from and against any claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence, willful misconduct or breach of this Agreement. Except for liability arising from gross negligence or willful misconduct, neither party's aggregate liability to the other under this Agreement shall exceed the total amounts actually paid to Hotel by Client under this Agreement.

Entire Agreement

This Agreement, including any incorporated schedules, attachments and the Scope of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

The parties represent that each has the authority to enter into this Agreement. If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect. Time is of the essence with respect to payments and deadlines set forth in this Agreement.
