HOSPITALITY SERVICES AGREEMENT

This Hospitality Services Agreement (the "Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing hospitality and event staffing, catering coordination, venue management, and related services; and

WHEREAS, Client requires hospitality services for an event or series of events described herein and desires to engage Service Provider on the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

PERFORMANCE STANDARDS

Service Provider shall perform services in a professional and workmanlike manner consistent with industry standards for hospitality services. Service Provider shall ensure that all staff assigned to Client are trained, licensed where required, and compliant with Client venue rules.

PAYMENT TERMS

Deposit: Client shall pay a non-refundable deposit of $ upon execution of this Agreement to secure the date(s).

Balance Due: The remaining balance of $ is due no later than days prior to the first event date.

Late Payment: Any undisputed late payment shall incur interest at the rate of or the maximum permitted by law, calculated from the due date until payment is received.

Reimbursable Expenses: Client agrees to reimburse reasonable out-of-pocket expenses incurred by Service Provider in connection with performance, including travel, accommodation, and third-party vendor fees, provided such expenses are pre-approved in writing by Client. INVOICES AND PAYMENT METHOD

Service Provider will submit invoices for payments due and for reimbursable expenses. Payments shall be made to Service Provider at the address provided above via the mutually agreed payment method. Failure to object to an invoice in writing within ten (10) days shall constitute acceptance.

TERM AND TERMINATION

Term: This Agreement commences on and continues until unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement for convenience by providing written notice at least days prior to the effective termination date. Deposit shall be retained by Service Provider if termination occurs within the notice period.

Termination for Cause: Either party may terminate immediately for material breach by the other party if such breach remains uncured fifteen (15) days after receipt of written notice specifying the breach. Upon termination for cause by Client, Service Provider shall be entitled to payment for services performed and reasonable costs incurred through the effective date of termination.

CONFIDENTIALITY

Each party agrees to maintain in confidence all confidential information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes generally known to the public through no fault of the receiving party; (b) is received from a third party without breach of any obligation of confidentiality; or (c) is independently developed by the receiving party without use of Confidential Information.

The obligations under this section survive for years following termination of this Agreement. A receiving party may disclose Confidential Information when required by law, provided it gives the disclosing party prompt notice and cooperates in any lawful effort to limit the disclosure.

INDEMNIFICATION; LIMITATION OF LIABILITY

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's negligence, willful misconduct, or breach of this Agreement.

Limitation of Liability: Except for a party's indemnification obligations or willful misconduct, in no event shall either party be liable to the other for any consequential, incidental, special, or punitive damages, and the total aggregate liability of either party arising out of or related to this Agreement shall not exceed the amounts paid or payable to Service Provider under this Agreement for the services giving rise to the claim.

INSURANCE

Service Provider shall maintain general liability and, where applicable, workers' compensation insurance coverage in commercially reasonable amounts customary for the hospitality industry. Upon request, Service Provider shall provide certificates of insurance to Client.

NOTICES

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties agree to attempt to resolve disputes in good faith, and if unresolved, to submit to the exclusive jurisdiction of the state and federal courts located in the chosen state.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments or statements of work incorporated herein, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior negotiations and understandings. This Agreement may be amended only by a written instrument signed by both parties.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger or sale of substantially all of its assets. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
