Hospitality Services Quality Inn Agreement

This Hospitality Services Quality Inn Agreement ("Agreement") is entered into as of Effective Date: by and between Hotel Name: , a franchised Quality Inn property with principal address: ("Hotel"), and Service Provider Name: , with principal address: ("Provider").

RECITALS

WHEREAS, Hotel operates a hospitality facility under the Quality Inn brand and requires certain hospitality services, including but not limited to guest services, facility upkeep, and event support; and

WHEREAS, Provider is engaged in the business of providing the services described in this Agreement and represents that it has the personnel, expertise, licenses and insurance necessary to perform such services; and

WHEREAS, the parties desire to set forth the terms and conditions under which Provider will perform hospitality services for Hotel.

SCOPE OF WORK

Provider shall perform the services described below in a professional and workmanlike manner, consistent with industry standards for properties of Hotel's class and brand requirements.

PAYMENT TERMS

In consideration for the services provided by Provider, Hotel shall pay Provider the fees set forth below in accordance with the schedule and conditions stated herein. Provider shall submit properly itemized invoices to Hotel in accordance with the invoice schedule below.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least Notice Period (days): days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within Cure Period (days): days after receipt of written notice of the breach.

CONFIDENTIALITY

Each party agrees that it shall hold in strict confidence and not disclose to any third party any Confidential Information of the other party. "Confidential Information" means non-public business, financial, operational, guest, personnel and proprietary information disclosed in connection with this Agreement, whether disclosed orally, in writing or by inspection.

Confidentiality obligations shall survive termination or expiration of this Agreement for a period of five (5) years, except for trade secrets which shall be protected for so long as they remain trade secrets under applicable law.

Provider acknowledges that disclosure of Hotel's confidential guest information or proprietary operating procedures may cause Hotel irreparable harm for which monetary damages may be an insufficient remedy, and Hotel shall be entitled to injunctive relief in addition to any other remedies available at law or in equity.

I acknowledge and will comply with the confidentiality obligations set forth in this Agreement.

INSURANCE AND INDEMNIFICATION

Provider shall maintain commercial general liability, workers' compensation, and employer's liability insurance in forms and amounts customary for comparable hospitality service providers and shall name Hotel as an additional insured where applicable. Provider shall indemnify, defend and hold harmless Hotel and its affiliates, officers, directors and employees from and against any claims, losses, liabilities and expenses arising out of Provider's performance of the services, except to the extent caused by Hotel's gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Venue for any action arising out of this Agreement shall be in the state or federal courts located in the county in which the Hotel is located, and the parties consent to the jurisdiction of such courts.

ENTIRE AGREEMENT

This Agreement, together with any schedules or exhibits attached hereto and any written change orders duly signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

Notices under this Agreement must be in writing and delivered to the addresses set forth below (or to such other address as a party may designate by written notice). Notices are effective upon delivery if delivered by hand or courier, or three (3) days after deposit in the U.S. mail, postage prepaid.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture or employment relationship. Provider shall not subcontract material obligations hereunder without Hotel's prior written consent.
