HOST TENANT AGREEMENT

This Host Tenant Agreement (the Agreement) is made on this day of , , by and between Host Name: of Host Address: (\"Host\") and Tenant Name: of Tenant Address: (\"Tenant\").

RECITALS

WHEREAS, Host is the lawful lessee or lawful occupant of the premises located at (the Premises) and holds obligations under a primary lease or title; and

WHEREAS, Tenant desires to occupy a portion or all of the Premises as provided herein and Host is willing to permit such occupancy subject to the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that Tenant's occupancy will at all times remain subordinate to and consistent with the Host's obligations under any primary lease, condominium rules, homeowners' association rules, or applicable law.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. TERM

The term of this Agreement shall commence on day of , and shall end on day of , , unless earlier terminated in accordance with this Agreement.

2. PREMISES AND OCCUPANCY

Host grants to Tenant a non-exclusive right to occupy the following portion of the Premises:

Tenant shall occupy the Premises solely for residential purposes (unless otherwise specified) and shall not use the Premises for any unlawful or hazardous activities. Tenant shall not permit more than persons to reside in the occupied space without Host's prior written consent.

3. RENT AND PAYMENTS

Tenant shall pay rent to Host at the address specified for Notices or by electronic transfer as agreed in writing. Late payments shall incur a late fee of per day after a grace period of days.

4. SECURITY DEPOSIT

Host shall hold the security deposit in accordance with applicable law. Upon termination, Host may deduct amounts reasonably necessary to remedy Tenant defaults, repair damage beyond normal wear and tear, and to satisfy unpaid rent or charges; an itemized statement of deductions will be provided to Tenant.

5. UTILITIES AND SERVICES

Tenant shall be responsible for payment of utilities as set forth above and shall not disconnect or tamper with any utility provision to the Premises. Shared utilities will be apportioned as agreed by the parties in writing.

6. MAINTENANCE, REPAIRS, AND ALTERATIONS

Tenant shall maintain the occupied space in a clean and sanitary condition and shall promptly notify Host of any condition requiring repair. Host shall be responsible for repairs to the structure, mechanical systems, and major appliances unless damage is caused by Tenant's negligence or misuse, in which case Tenant shall be responsible for the cost of repair.

7. ACCESS AND INSPECTION

Host or Host's agents may enter the Premises upon reasonable advance notice for the purposes of inspection, repairs, or to show the Premises to prospective occupants or purchasers, except in emergencies where no notice is required. Reasonable notice shall be no less than unless otherwise agreed.

8. COMPLIANCE WITH PRIMARY LEASE AND LAWS

Tenant acknowledges that this Agreement is subordinate to any existing primary lease, condominium or association rules, and applicable law. Tenant shall comply with all such rules and laws; any breach by Tenant may constitute a breach of the primary lease and grounds for termination of this Agreement.

9. INSURANCE AND LIABILITY

Tenant is strongly encouraged to obtain renter's insurance covering Tenant's personal property and liability. Host shall not be liable for loss or damage to Tenant's personal property except to the extent caused by Host's gross negligence or willful misconduct.

10. INDEMNITY

Tenant shall indemnify and hold Host harmless from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of Tenant's use or occupancy of the Premises, except to the extent caused by Host's negligent or willful acts.

11. DEFAULT AND REMEDIES

If Tenant fails to perform any material obligation under this Agreement, Host may provide written notice specifying the breach and allow a cure period not less than days. If Tenant does not cure, Host may pursue all available legal and equitable remedies, including termination of occupancy and recovery of damages.

12. TERMINATION

Either party may terminate this Agreement upon prior written notice to the other in accordance with Section 14 (Notices) specifying the effective termination date. Termination shall not relieve Tenant of obligations or liabilities that accrued prior to termination.

13. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, when sent by nationally recognized overnight courier, or three (3) days after deposit in the U.S. mail, postage prepaid, addressed to the party at the address set forth below or at such other address as either party may designate by written notice.

14. AMENDMENT, WAIVER, COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any breach shall be effective unless in writing and signed by the party to be charged. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which constitute one instrument.

15. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state specified by the parties below. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. MISCELLANEOUS PROVISIONS

If Tenant is required by Host or by law to vacate the Premises prior to the end of the Term, Tenant shall remain liable for rent and other obligations until the earliest of (a) the termination date set forth in a valid notice, (b) re-letting by Host, or (c) agreement of the parties. Tenant shall not assign or sublet the occupied space without Host's prior written consent; any assignment or subletting without consent shall be voidable by Host.
