HOTEL BOOKING AGREEMENT

PAYMENT TERMS

Late Payment: In the event of failure to pay any undisputed amount when due, the Client shall pay a late fee of % per month (or the maximum permitted by law) calculated monthly on the overdue balance, plus any costs of collection, including reasonable attorneys' fees.

Cancellation: If the Client cancels this booking more than days prior to arrival, the deposit shall be refunded less any non-recoverable costs. If cancelled within that period, the Hotel may retain the deposit and may invoice for additional damages in accordance with the cancellation schedule set forth herein and in any attached rate addendum.

Termination for Cause: Either party may terminate this Agreement for material breach by the other party upon days' prior written notice if the breach remains uncured at the expiration of that period.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public, confidential or proprietary information disclosed by the other party in connection with this Agreement and shall not disclose such information to third parties without prior written consent, except as required by law. Confidential information does not include information that is already lawfully known to the receiving party or is or becomes publicly available through no wrongful act of the receiving party.

INSURANCE & LIABILITY

The Hotel shall maintain customary property and liability insurance. To the fullest extent permitted by law, the Hotel's liability for claims arising out of this Agreement shall be limited to direct damages and shall not include consequential, punitive, incidental or special damages. The Client shall maintain appropriate insurance for its activities and indemnify the Hotel for claims arising from Client negligence or misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, together with any written rate addenda, attachments and confirmed booking details, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral. No amendment shall be binding unless made in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices required under this Agreement shall be given in writing to the addresses provided above and are effective upon receipt.
