HOTEL LEASE ADDENDUM

This Hotel Lease Addendum (the Addendum) is entered into as of Effective Date: by and between Lessor Name: , entity type: , with principal address: ; and Lessee Name: , entity type: , with principal address: .

RECITALS

WHEREAS, Lessor and Lessee executed a Hotel Lease dated Original Lease Date: (the Lease) covering the premises commonly known as Hotel Property: (the Premises); and

WHEREAS, the parties desire to amend certain provisions of the Lease to reflect changes in occupancy, services, and financial terms as set forth below; and

WHEREAS, capitalized terms used but not defined in this Addendum shall have the meanings assigned to them in the Lease.

NOW, THEREFORE

In consideration of the mutual covenants contained herein, and other good and valuable consideration, the sufficiency of which is acknowledged, the parties hereby agree to amend the Lease as follows:

1. AMENDMENT TO LEASE

1.1. Modification. The Lease is amended by adding the following provisions and modifying existing provisions to the extent they conflict with this Addendum. The parties agree that the changes set forth in Section 2 through Section 10 below are incorporated into and shall control over any conflicting Lease provisions.

6.1. Responsibilities. Lessee shall be responsible for housekeeping, front desk staffing, routine maintenance, and day-to-day operations as described in the Lease. Lessor shall remain responsible for structural repairs except to the extent damage is caused by Lessee's negligence or willful misconduct.

7. FURNISHINGS, FIXTURES AND EQUIPMENT

7.1. Inventory and Condition. The parties acknowledge an inventory of Furnishings, Fixtures and Equipment (FF&E) attached hereto as Exhibit A (if any). Lessee accepts the FF&E in its existing condition except as expressly warranted in writing by Lessor.

8. INSURANCE AND INDEMNITY

8.1. Insurance. Lessee shall maintain commercial general liability insurance with limits not less than General Liability Limit: $ per occurrence and property insurance required by the Lease. Lessor shall be named as an additional insured to the extent required by the Lease.

8.2. Indemnity. Each party shall indemnify, defend and hold harmless the other party from and against liabilities arising from its negligence or willful misconduct, subject to the limitations set forth in the Lease.

9. DEFAULT; REMEDIES

9.1. Default. A breach of any material term of this Addendum shall constitute a default under the Lease. The non-breaching party shall have all rights and remedies provided under the Lease and at law or in equity. Cure Period (days):
