HOTEL ROOM BLOCK CONTRACT

This Hotel Room Block Contract (the "Agreement") is made effective as of by and between Client Name: with mailing address: (hereinafter "Client"), and Hotel Name: with principal address: (hereinafter "Hotel"). Client and Hotel are each a "Party" and collectively the "Parties."

RECITALS

WHEREAS, Client is organizing an event and requires temporary guest accommodations for event attendees during the period commencing on through ; and

WHEREAS, Hotel has the capacity and is willing to reserve a block of guest rooms, subject to the terms and conditions set forth herein; and

WHEREAS, the Parties desire to set forth the terms, rates, and conditions under which Hotel will make rooms available to Client's guests.

NOW, THEREFORE

In consideration of the mutual promises and covenants contained herein, the Parties agree as follows:

1. DEFINITIONS

1.1 "Room Block" means the rooms reserved for Client's attendees as identified in Section 2. "Attrition" means the shortfall, if any, between the number of rooms guaranteed by Client and the actual rooms picked up by Guests. "Cut-off Date" means the last date on which Hotel will accept individual reservations at the contracted rate without a commitment from Client.

2. ROOM BLOCK

2.1 Hotel will hold the following Room Block for Client's attendees for the dates set forth above: Total Rooms Blocked: ; Room Type(s): .

2.2 The nightly guest room rate for reservations under this Room Block shall be $ per room, exclusive of taxes and mandatory fees unless expressly stated otherwise in this Agreement.

2.3 The cut-off for individual reservation at the contracted rate is (the "Cut-off Date"). After the Cut-off Date, rooms will be released and subject to availability and prevailing rates.

3. RATES, DEPOSIT AND PAYMENT

3.1 Deposit. Client shall remit a deposit in the amount of $ to secure the Room Block. The deposit is due by . Deposit will be applied to the Master Account as provided in Section 6.

3.2 Payment Terms. Unless otherwise agreed in writing, payment for guest rooms, taxes, and incidental charges shall be made by each Guest directly to Hotel at checkout, and any Master Account charges shall be invoiced to Client and payable within days of invoice.

4. RESERVATIONS AND ROOMING LIST

4.1 Reservations may be made by Guests using a unique booking code (if applicable) or by providing Client's name at the time of reservation. Hotel will provide reservation instructions to Client within five (5) business days of execution.

4.2 Rooming List. If Client elects to provide a rooming list, such list shall be delivered to Hotel by and shall include guest names, arrival and departure dates, and card information where required by Hotel policy.

5. ATTRITION, CANCELLATION AND RELEASE

5.1 Attrition. Client guarantees a minimum of room nights (the "Guaranteed Rooms"). If Client’s actual pick-up falls below the Guaranteed Rooms by more than % (the "Permitted Attrition"), Client shall be liable for Attrition Fees equal to $ per room for each shortfall night.

5.2 Cancellation. If Client cancels the Room Block in whole prior to the Cut-off Date, cancellation fees shall be as follows: cancellation within will result in a fee equal to $ or the deposit, whichever is greater. Any release of rooms after the Cut-off Date shall be subject to full liability for rooms not picked up.

6. MASTER ACCOUNT & INCIDENTALS

6.1 Master Account. Client may request a Master Account for group-related charges. The cutoff for posting to the Master Account is . Charges not pre-authorized by Client may be billed to the individual Guest.

6.2 Incidentals. Guests are responsible for room incidentals unless Client provides a written guarantee of payment acceptable to Hotel in advance.

7. TAXES, CHARGES AND GOVERNMENT FEES

7.1 All quoted rates are subject to applicable occupancy taxes, sales taxes, service charges, and mandatory fees imposed by governmental authorities or Hotel policy. Such taxes and fees shall be collected from Guests or billed to Client as required by law.

8. FORCE MAJEURE

8.1 Neither Party shall be liable for failure to perform its obligations hereunder (other than payment obligations) if such failure is caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, governmental orders, pandemics, or natural disasters. The affected Party shall provide prompt written notice to the other and use reasonable efforts to mitigate the effects.

9. LIABILITY AND INSURANCE

9.1 Hotel shall maintain customary property and casualty insurance for its operations. Client shall ensure that any activities it organizes at the Hotel are covered by appropriate general liability insurance and shall provide certificates of insurance upon request.

10. INDEMNIFICATION

10.1 Client shall indemnify, defend and hold harmless Hotel and its directors, officers, employees and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or resulting from Client's negligence, willful misconduct, or breach of this Agreement, except to the extent caused by Hotel's gross negligence or willful misconduct.

11. NOTICES

11.1 All notices, demands, or communications required or permitted hereunder shall be in writing and shall be delivered personally, by certified mail (return receipt requested), or by nationally recognized overnight courier to the addresses set forth below, or to such other address as a Party may designate by written notice to the other Party:

12.1 This Agreement shall be governed by and construed in accordance with the laws of the state/province in which Hotel is located, without regard to its conflict of law principles.

13. ENTIRE AGREEMENT; AMENDMENTS; WAIVER

13.1 This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations and communications. No amendment, modification or waiver of any provision shall be effective unless in writing and signed by authorized representatives of both Parties. The failure of either Party to enforce any provision of this Agreement shall not be deemed a waiver of future enforcement of that or any other provision.

14. SEVERABILITY; ASSIGNMENT; COUNTERPARTS

14.1 If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. Neither Party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other Party, except that Hotel may assign to an affiliate or successor by merger. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
