What the Hotel Use Agreement Is and When it Applies

A Hotel Use Agreement is a written contract that sets the terms under which a hotel or venue grants a third party the right to use specified rooms, meeting spaces, or facilities for a defined purpose and period. It clarifies parties, permitted activities, access windows, fees, deposits, setup and teardown responsibilities, insurance and indemnity, and remedies for damage or cancellation. These agreements are commonly used for events, extended-stay programs, filming, pop-up retail, and corporate housing, and they form the primary record for operational coordination and legal remedies if obligations are not met.

Why a Formal Hotel Use Agreement Matters

A clear Hotel Use Agreement reduces ambiguities about permitted uses, schedules, liability, and payment terms and creates an enforceable record that supports dispute resolution. Electronic execution is legally valid under the federal ESIGN Act (15 U.S.C. ch. 96, 2000) and most state UETA statutes when intent, consent, attribution, and retention requirements are met.

Why a Formal Hotel Use Agreement Matters

Typical parties who prepare or sign a Hotel Use Agreement

Who commonly completes this agreement and why.

  • Hotel owners and property managers who need to document booking terms, fees, and onsite responsibilities for outside users or event organizers.
  • Event planners, corporate bookers, film or production companies that require guaranteed access, setup times, and liability protections.
  • Facility rental intermediaries and legal or procurement teams that manage large or recurring bookings and require standardized contract language.

Use this agreement to assign clear operational duties, reduce risk, and ensure timely payment and insurance coverage.

Core elements to include in a professional Hotel Use Agreement

A comprehensive agreement addresses identity, scope of use, schedule, financial terms, risk allocation, and administrative details to avoid misunderstandings and support enforcement.

Full legal names of hotel and user, plus contact and billing information to ensure proper service and notices.

Premises Description

Detailed identification of rooms, floors, and common areas included, with floor plans or room numbers attached as exhibits.

Permitted Use

Specific activities allowed and prohibited actions, including hours of operation, amplified sound, catering, and signage rules.

Term and Access

Start and end dates, setup and teardown windows, and who controls access keys, badges, or security passes.

Fees and Deposits

Rent, deposit amounts, payment schedule, accepted payment methods, cancellation charges, and when security deposits are withheld.

Insurance and Indemnity

Required insurance types and limits, additional insured language, indemnity scope, and responsibility for damage or third-party claims.

Step-by-step: completing and executing the agreement

Follow these practical steps to prepare, authorize, execute, and store the agreement efficiently.

  • 01
Drafting: Populate clause fields and attach exhibits.
  • 02
Review: Confirm insurance and payment terms with stakeholders.
  • 03
Execution: Collect signatures from authorized signers.
  • 04
Recordkeeping: Save the signed agreement and proof of insurance.

How to configure an online signing workflow for repeat bookings

Set up template fields and signer order to speed execution and reduce manual errors for recurring hotel use arrangements.

Field Configuration
Signature Order Sequential signing by role ensures approvals flow correctly
Authentication Email with optional SMS code or stronger ID verification
Templates Save standard clauses and exhibits for reuse
Notifications Auto reminders to signers and administrative alerts

Typical routing and submission process

A standard online flow moves the document from drafting to final storage with audit records captured at each step.

  • Upload: Sender uploads contract and attaches exhibits
  • Place Fields: Add signature, date, and initial fields
  • Send to Signers: Email link or secure signing portal
  • Complete & Store: Signed copy and audit trail archived

Technical compatibility and integrations for eExecution

Consider file formats, storage, and integration needs before choosing an eSigning workflow.

  • File Formats: PDF and DOCX are standard for contracts
  • Storage Integrations: Connect to Google Drive, Box, or NetSuite
  • Authentication: Support for email, SMS, and advanced methods

Ensure your platform supports required integrations and export formats so executed agreements can feed into accounting, CRM, and records systems.

Exporting, saving, and bundling supporting documents

After signing, export options and attached exhibits determine how contracts are stored and audited for compliance.

Export Formats

Save final agreements as PDF/A for long-term preservation and as DOCX for editable internal records; include visible signature images if required.

Audit Trail

Include a signed audit certificate that records timestamps, IP addresses, and signer authentication to support admissibility.

Attach Exhibits

Bundle floor plans, insurance certificates, permits, and vendor agreements as numbered exhibits to avoid ambiguity.

Version Control

Keep a single executed master copy and archive prior drafts to prevent conflicting interpretations.

Key legal risks and potential penalties of errors

Breach Liability: Damages and legal fees
forfeited Deposits: Loss of security deposit
Contract Invalidity: Ambiguous terms may be unenforceable
Insurance Gaps: Uncovered claims and defense costs
Tax Compliance: Reporting or withholding issues
Third-Party Claims: Liability from attendees or contractors

Common mistakes to avoid when preparing the agreement

  • Using informal or vague space descriptions that create disputes about what was actually rented and when it was available.
  • Failing to confirm signer authority or mismatching legal entity names, which can invalidate payment or enforcement rights.
  • Omitting insurance minimums or certificate-holder details, producing coverage gaps when a claim arises.
  • Neglecting to attach exhibits (floor plans, permits, vendor contracts) that specify responsibilities and setup requirements.

Who can sign on behalf of each party

Hotel General Manager

General managers or authorized corporate representatives can sign on behalf of the hotel when their authority is delegated in writing by corporate policy; verify signatory capacity to avoid later disputes.

Authorized Company Signer

A corporate purchaser should have a named officer or procurement designee sign with title noted; provide a board resolution or POA if signature authority is not obvious.
