WHEREAS

WHEREAS, Client owns or controls an HVAC system located at Service Location: that requires repair, replacement or maintenance of an evaporator coil; and

WHEREAS, Service Provider is qualified and experienced in HVAC diagnostics, repair, coil replacement and related services and represents that it is properly licensed, insured and able to perform the work described herein; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will supply materials, labor and perform services pertaining to the evaporator coil specified below.

Either party may terminate this Agreement for material breach by the other if the breaching party fails to cure the breach within days after receiving written notice. Additionally, Client may terminate for convenience upon days' prior written notice, subject to payment for work performed and non-cancelable material costs incurred.

CONFIDENTIALITY

During the Term and for a period of years thereafter, each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement and shall not disclose such information except to its employees, agents or subcontractors with a need to know and who are subject to confidentiality obligations no less protective than those herein. Confidential information shall not include information that is or becomes publicly available through no fault of the receiving party or information lawfully obtained from a third party.

WARRANTIES; LIMITATION OF LIABILITY

Service Provider warrants that work performed will be free from defects in workmanship for a period of months from completion. Manufacturer warranties for parts shall be passed through to Client to the extent transferable. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS AGREEMENT. NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties agree that any dispute arising under or in connection with this Agreement shall be resolved in the state or federal courts located within that state.

ENTIRE AGREEMENT

This Agreement, including any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous proposals, negotiations, representations and agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Subcontracting: Service Provider may subcontract portions of the work but shall remain responsible for performance. Insurance: Service Provider shall maintain commercial general liability and workers' compensation insurance as required by law and provide proof upon request. Taxes: Client shall not be responsible for Service Provider's income or payroll taxes.

Notices: Any notice required under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing.
