Lessee shall be liable for reasonable costs of repossession, removal, repair and attorneys' fees.

Assignment & Subleasing

Lessee shall not assign, transfer or sublease the Equipment or this Agreement without Lessor's prior written consent. Consent shall not be unreasonably withheld. Any permitted assignee shall assume all obligations hereunder.

Representations, Indemnity & Warranties

Lessor represents that it has good title to the Equipment and authority to lease it. Lessee represents that it has the authority to accept delivery and use the Equipment at the Property. Lessee shall defend, indemnify and hold Lessor harmless from any claims, liabilities, losses or expenses arising from Lessee's use, maintenance or operation of the Equipment, except to the extent caused by Lessor's gross negligence or willful misconduct.

Lessor warrants that at the commencement the Equipment is in good operating condition. EXCEPT FOR THE FOREGOING, LESSOR MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
