HVAC SERVICE AGREEMENT

This HVAC Service Agreement ("Agreement") is made effective as of by and between Client Name: and Contractor Name: .

WHEREAS

WHEREAS, Client requires routine maintenance, inspection, repair and emergency services for heating, ventilation and air conditioning systems located at the premises described below; and

WHEREAS, Contractor is duly qualified, licensed and experienced in the performance of HVAC services and represents that it maintains necessary insurance and trained personnel to perform the services under this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Contractor will provide HVAC services to Client.

SCOPE OF WORK

Contractor shall perform the following services at the Service Location. Services shall include inspection, cleaning, lubrication, diagnostic testing, and repairs as expressly authorized in writing by Client. Work outside the written scope will require a written change order and may incur additional charges.

PAYMENT TERMS

Client agrees to pay Contractor for services performed under this Agreement in accordance with the following terms.

Late payments shall accrue interest at % per month or the maximum permitted by law, whichever is less. A returned-check fee of USD shall apply where applicable.

TERM AND TERMINATION

This Agreement shall commence on and, unless earlier terminated in accordance with this Agreement, shall continue until .

Either party may terminate this Agreement for convenience upon written notice delivered to the other party at least days prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured for a period of 10 days after written notice specifying the breach.

CONFIDENTIALITY

Each party shall treat as confidential all nonpublic business, technical, financial and operational information disclosed by the other party in connection with this Agreement ("Confidential Information"). Confidential Information shall not include information that (i) is or becomes generally available to the public other than by breach of this Agreement, (ii) was rightfully known to the receiving party prior to disclosure, or (iii) is independently developed without use of the disclosing party's Confidential Information. The receiving party shall not disclose Confidential Information to third parties without prior written consent and shall use at least the same degree of care to protect Confidential Information as it uses for its own confidential information, but in no event less than reasonable care. Upon termination, the receiving party shall return or destroy confidential materials except to the extent retention is required by law.

INSURANCE, WARRANTIES AND LIABILITY

Contractor shall maintain insurance customary for the HVAC industry, including commercial general liability and workers' compensation coverages. Contractor warrants that services will be performed in a workmanlike manner for a period of 90 days from completion, except that replacement parts may carry separate manufacturers' warranties. EXCEPT FOR THE EXPRESS WARRANTY ABOVE, CONTRACTOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING OUT OF THIS AGREEMENT, AND TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNTS PAID TO CONTRACTOR UNDER THIS AGREEMENT DURING THE PRIOR TWELVE MONTHS.

INDEMNIFICATION

Contractor shall indemnify, defend and hold Client harmless from and against all third-party claims, liabilities, losses and expenses arising out of Contractor's negligent acts or omissions in the performance of services. Client shall indemnify Contractor for claims arising from Client's negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth in this Agreement or to such other address as either party may designate by notice.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.

DISPUTE RESOLUTION

Except where injunctive relief is sought, the parties agree to submit any dispute arising under this Agreement first to non-binding mediation. If mediation fails, either party may pursue any remedy at law or in equity in the courts located in the governing state.
