HVAC SERVICE CONTRACT

This HVAC Service Contract ("Agreement") is made effective as of between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client operates the premises requiring heating, ventilation and air conditioning services and desires to retain Provider to perform HVAC inspection, maintenance, repair and installation services as set forth herein; and

WHEREAS, Provider represents that it possesses the necessary licenses, certifications, experience and insurance to perform the services described in this Agreement and agrees to perform such services in a professional and workmanlike manner consistent with industry standards.

SCOPE OF WORK

Provider shall perform the HVAC services described below at Client's premises located at:

PAYMENT TERMS

Client shall pay Provider for services performed in accordance with the following terms:

Late payments shall incur interest at the lesser of fifteen percent (15%) per annum or the maximum rate permitted by applicable law, applied to the outstanding balance from the due date until paid. In addition, a late fee of may be assessed for invoices not paid within days of the invoice due date.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall terminate on End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the intended termination date. Either party may terminate immediately for material breach that remains uncured for thirty (30) days after written notice.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Each party agrees to (i) hold Confidential Information in strict confidence, (ii) not disclose Confidential Information to third parties except as permitted under this Agreement, and (iii) use Confidential Information solely for the performance of this Agreement. Confidential Information excludes information that is: (a) publicly known through no wrongful act of the receiving party; (b) rightfully received from a third party without restriction; or (c) independently developed by the receiving party without use of the disclosing party's Confidential Information.

The confidentiality obligations hereunder shall survive termination for a period of three (3) years, except for trade secrets which shall remain protected for as long as they qualify as trade secrets under applicable law.

INSURANCE, LICENSES AND COMPLIANCE

Provider warrants that it maintains all licenses, permits and insurance required by applicable law to perform the services described herein. Prior to commencing work, Provider will furnish evidence of insurance upon Client's request and shall maintain commercial general liability and workers' compensation insurance in amounts reasonably sufficient for the services.

Provider represents and warrants that it holds required licenses and insurance for the duration of the Agreement.

PARTS, MATERIALS AND WARRANTIES

Unless otherwise stated in writing, Client shall reimburse Provider for parts and materials used in performance of the work at cost plus a markup of %. Manufacturer warranties shall be passed through to Client where assignable; Provider's labor warranty for repair work shall be for a period of days from completion.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Provider shall indemnify, defend and hold harmless Client from and against claims, liabilities, losses and expenses arising from Provider's negligent acts or omissions in the performance of services. Client shall indemnify Provider for claims arising from Client's negligence. EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, AND EACH PARTY'S AGGREGATE LIABILITY SHALL BE LIMITED TO THE TOTAL AMOUNT PAID OR PAYABLE UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including all schedules and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any modification or amendment must be in writing and signed by an authorized representative of each party.
