HVAC SERVICE AGREEMENT

This HVAC Service Agreement (the "Agreement") is entered into as of by and between Client Name: (hereafter "Client") and Contractor Name: (hereafter "Contractor").

RECITALS

WHEREAS, Client desires to obtain maintenance, repair, or installation services for heating, ventilation, and air conditioning equipment located at (the "Premises");

WHEREAS, Contractor represents that it is duly licensed, insured, and qualified to perform HVAC services and has the experience, personnel, and technical capability to perform the services described in this Agreement; and

WHEREAS, the parties wish to set forth the terms and conditions under which the Contractor will perform HVAC services for the Client.

PARTIES AND CONTACT INFORMATION

SCOPE OF WORK

Contractor shall perform the services described below at the Premises. Services shall be performed in a professional and workmanlike manner consistent with industry standards.

MATERIALS, PARTS AND WARRANTY

Contractor will supply parts and materials as specified in the Scope of Work. Parts supplied by Contractor will be new unless otherwise specified. Any manufacturer warranties on equipment or parts will be passed through to Client to the extent assignable; Contractor's warranty for labor is set forth below.

PAYMENT TERMS

Client shall pay Contractor the amounts and according to the schedule set forth below. All payments are due in U.S. dollars, unless otherwise agreed in writing.

Invoices not paid within the payment terms shall bear interest at the rate set forth above and Client shall be responsible for all costs of collection, including reasonable attorney fees and court costs.

TERM AND TERMINATION

This Agreement commences on Start Date: and shall continue until End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above. Termination shall not relieve Client of its obligation to pay for work performed and materials supplied prior to termination.

CONFIDENTIALITY

The parties acknowledge that during performance of this Agreement each may have access to confidential information of the other. "Confidential Information" includes pricing, technical specifications, and other non-public information disclosed in connection with this Agreement. Each party agrees not to disclose or use the other party's Confidential Information except as necessary to perform obligations under this Agreement. Confidentiality obligations shall survive termination for a period of two (2) years.

INDEMNITY AND LIMITATION OF LIABILITY

Contractor agrees to defend, indemnify and hold Client harmless from claims arising out of Contractor's negligent performance of the services. Except for liability arising from gross negligence or willful misconduct, each party's total liability under this Agreement shall be limited to direct damages not exceeding the total amount paid to Contractor under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is found invalid or unenforceable, the remainder shall continue in full force and effect. Notices required under this Agreement shall be in writing and delivered to the addresses provided above.
