Default & Remedies

Define events of default, grace periods, acceleration, collection costs, and lender remedies including foreclosure, repossession, deficiency judgments where available, and post-default recovery procedures and notice requirements.

Improper Notarization: State law may invalidate signatures
UCC Perfection Failure: Loss of priority in collateral
Tax Consequences: IRS imputed interest rules apply
Data Breach: Potential HIPAA or financial exposure

Common Preparation Mistakes

  • Incomplete party details and inconsistent names across exhibits lead to ambiguity and can delay enforcement or trigger requirement to re-execute documents, costing time and legal fees.
  • Failure to perfect security by omitting a timely UCC-1 filing lets other creditors gain priority, increasing recovery risk on borrower default and complicating bankruptcy scenarios.
  • Using ambiguous consideration language or leaving interest terms undefined may invite IRS scrutiny for imputed interest or recharacterization in related-party lending.
  • Incorrect notarization, witness counts, or failing to retain RON recordings where required can render acknowledgements invalid under state law.

Practical Tips to Reduce Errors and Speed Closing

Practical tips help reduce errors, ensure enforceability, and speed closing when using the Iarley Loan Agreement.

Confirm party identities and signing authority
Verify legal names, corporate status, and authority to bind for signatories. Obtain corporate resolutions or power of attorney when entities sign. Inconsistencies in party identity are a common cause of enforceability challenges and can delay recording or UCC perfection.
Spell out payment application and late fees
Specify how payments are applied to interest, fees, and principal, and define late fee calculations and grace periods. Ambiguity in payment allocation frequently prompts disputes and increases lender collection costs in default scenarios.
Confirm UCC and recording steps
Identify collateral jurisdictions and file UCC-1 financing statements promptly. For real estate-secured loans, record mortgages or deeds with the county recorder. Mistimed filings can undermine priority and lead to costly litigation or reduced recovery.
Maintain detailed audit trails and records
Use an eSignature platform that captures timestamps, IP addresses, and signer authentication records. Retain completed PDFs and export copies to encrypted storage. A clear audit trail supports enforceability and satisfies ESIGN, UETA, and regulatory recordkeeping requirements.
