RECITALS

WHEREAS, Sender Name: (the "Sender") is engaged in the business of transmitting physical and electronic identification documents and related information to the Service Provider; and

WHEREAS, Service Provider Name: (the "Provider") operates systems that receive, process and store identification data on behalf of entities that send such records; and

WHEREAS, the parties desire to register the Sender with the Provider and set forth the operative terms governing the Sender's authorized transmissions of identification material to the Provider as set forth in this Agreement effective as of Effective Date: .

SCOPE OF WORK

Sender is authorized to transmit to Provider identification documents, verification data and ancillary materials as described below. The Sender shall only transmit data for which it has lawful authority and a legitimate business purpose.

PAYMENT TERMS

Fees for registration, transmission, and processing services shall be as stated below. The Sender agrees to pay all invoiced amounts in accordance with this section.

All invoices are due in the currency specified on the invoice. Disputes to invoiced amounts must be submitted in writing within thirty (30) days of invoice date; undisputed amounts shall remain payable when due. Provider may suspend Services for non-payment after fifteen (15) days' written notice of default.

TERM AND TERMINATION

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon Notice Period (days): days' prior written notice. Either party may terminate immediately for material breach that remains uncured thirty (30) days after written notice, or immediately for breaches involving unauthorized disclosure of personal identification data.

CONFIDENTIALITY

Each party shall maintain in strict confidence all non-public information disclosed by the other party in connection with this Agreement, including personal identification data, business practices, and technical information ("Confidential Information"). Confidential Information shall not be disclosed or used except as necessary to perform under this Agreement or as required by law, provided that the receiving party gives prompt notice and cooperates to seek protective measures.

Obligations of confidentiality survive termination for a period of five (5) years, except that obligations with respect to personal identification data survive as long as required by applicable law or until such data is no longer reasonably considered confidential.

DATA SECURITY, INSURANCE AND COMPLIANCE

Sender represents and warrants that it will comply with applicable laws and regulations governing the collection, handling and transmission of identification data and will maintain appropriate insurance coverage.

INDEMNIFICATION

Sender shall indemnify, defend and hold harmless Provider and its officers, directors and agents from and against all losses, liabilities, claims, fines, penalties and expenses (including reasonable attorneys' fees) arising out of Sender's breach of this Agreement, unauthorized disclosures, misrepresentations, or failure to obtain necessary consents for transmission of identification materials.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the Governing State: without regard to its conflict of law rules.

This Agreement, together with any written schedules or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, understandings and agreements, whether written or oral.

MISCELLANEOUS PROVISIONS

No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
