What an Identification Agreement is and when it applies

An Identification Agreement is a written record that documents how a party's identity will be verified for a specific transaction, relationship, or regulatory purpose. It explains the types of acceptable identification, the verification methods to be used (for example, government‑issued photo ID, knowledge‑based authentication, or remote online notarization), and the responsibilities of each party. The agreement clarifies timing, storage, and evidence required to demonstrate that identity checks were completed. Well‑drafted Identification Agreements reduce dispute risk and help satisfy compliance requirements when identity proofing is legally or commercially required.

Why use an Identification Agreement

An Identification Agreement sets clear expectations around identity proofing, reduces ambiguity about accepted credentials and verification steps, and creates an auditable record for compliance and dispute resolution.

Why use an Identification Agreement

Who commonly completes an Identification Agreement

Identification Agreements are used by organizations and individuals that require formal identity proofing before completing sensitive transactions, onboarding, or legal processes.

  • Human resources teams onboarding new hires and contractors when confirming identity for payroll, background checks, and I-9 compliance.
  • Healthcare administrators confirming patient identity and authorization before sharing protected health information or executing consent forms.
  • Real estate and title professionals verifying parties to closings and rental agreements where identity affects property rights.

Use the agreement when identity is material to legal authority, payment, regulatory compliance, or when third parties require documented proof of verification.

Typical roles that sign or administer the agreement

Compliance Officer

A compliance officer administers verification policies, documents accepted ID types, coordinates identity proofing records, and retains evidence to meet audit and regulatory obligations, including ESIGN and industry standards.

HR / Onboarding Manager

An HR or onboarding manager collects identity documents, confirms matches against employment eligibility or internal records, and ensures retention timelines align with I-9 and payroll recordkeeping requirements.

Security and compliance measures to include

Encryption: TLS 1.2/1.3; AES-256 at rest
Audit trail: Timestamped events and IP logging
Authentication: Email/SMS, KBA, or MFA options
Certifications: SOC 2 Type II; ISO 27001
Regulatory support: ESIGN, UETA, 21 CFR Part 11
Privacy frameworks: HIPAA (BAA required); GDPR

Primary risks when identity is not verified correctly

Fraud exposure: Unauthorized transactions or identity theft
Contract invalidity: Challenges to enforceability in disputes
Regulatory fines: Industry penalties or enforcement actions
Backup withholding: Incorrect TIN triggers 24% withholding
Reputational harm: Customer trust and partner concerns
Recordkeeping failures: Unable to demonstrate compliance

Common preparation mistakes to avoid

  • Accepting informal or expired IDs without noting exceptions, which weakens proof and increases fraud risk during later review or audit.
  • Failing to record the verification method and evidence chain, leaving no auditable trail that shows what was checked and when.
  • Mixing inconsistent name formats between documents and the agreement, causing mismatches with government records and potential backup withholding or rejection.
  • Assuming e-signature legality without meeting ESIGN/UETA requirements, such as consent and reliable retention for reproduction.

Step-by-step: completing an Identification Agreement

Follow these steps to gather identity evidence, document verification actions, and finalize the agreement so it meets legal and operational needs.

  • 01
Prepare the form: List accepted ID types, verification steps, and retention policy.
  • 02
Collect identity evidence: Capture photo ID, selfies, or credential checks per the agreement.
  • 03
Verify identity: Use document checks, KBA, or credential analysis to confirm identity.
  • 04
Sign and store: Execute signatures, note verifier, and save an auditable record.

How online completion and verification typically flow

A typical digital workflow reduces friction while preserving an auditable chain of custody for identity checks and signed agreements.

  • Upload document: Sender uploads the Identification Agreement to the eSignature platform.
  • Place verification fields: Add fields for ID type, ID number, photo upload, and verifier notes.
  • Authenticate signer: Authenticate via email link, SMS code, or stronger KBA methods.
  • Capture audit trail: Platform records timestamps, IPs, and actions for compliance.

Core components to include in a professional Identification Agreement

A comprehensive agreement balances clear identification requirements, verification procedures, evidence retention, and signature mechanics to support legal enforceability and operational consistency.

Parties and scope

Identify each party by legal name and expressly state the agreement's scope, including which transactions or records the identity verification covers and any limitations.

Accepted ID types

List acceptable credentials (passport, driver’s license) and describe acceptable conditions such as current, unexpired status and whether photocopies or image uploads are permitted.

Verification method

Specify whether verification uses manual document review, credential analysis software, KBA, biometric selfie matching, or remote notarization and who performs each check.

Record retention

State retention periods, secure storage methods, and the responsible custodian for the verification records and audit trail.

Additional clauses that strengthen enforceability and clarity

Beyond core elements, include provisions for consent, dispute resolution, liability allocation, changes to verification requirements, and how third‑party verifiers are engaged.

Consent and disclosures

Describe how the signer consents to electronic processing of identity data, any consumer disclosures required under ESIGN when a consumer-facing record is involved, and how to withdraw consent.

Third‑party verifiers

If using external identity providers, name them or the verification standard, and specify who bears cost and responsibility for failed or inconclusive checks.

Liability and indemnity

Define each party’s liability for negligent verification, fraud, or inaccurate information and whether indemnity covers third‑party claims arising from identity errors.

Change control

Set a process for amending accepted ID lists or verification tools, including notice periods and required signatory approval for material changes.

Dispute handling

Specify dispute resolution, whether binding arbitration or courts apply, and which jurisdiction’s laws govern interpretation of identity verification matters.

Notices and records

Require electronic or physical notice methods, designate record custodians, and describe backup procedures in case of system failure or legal requests.

Practical tips for accurate, efficient completion

Use a standardized process and consistent field formatting to reduce errors and speed verification while preserving an evidentiary trail.

Standardize name formats across records
Require the signer to enter their full legal name exactly as shown on government ID; include fields for any aliases and explain consequences of mismatched names.
Use precise date formats
Require MM/DD/YYYY for all dates to avoid ambiguity; note that effective dates can influence statute of limitations and retention calculations.
Capture verifier details
Record the verifier's name, method used, and time of verification to create a reproducible audit trail that supports later review or legal challenges.
Log and store evidence securely
Encrypt stored images and logs, limit access by role, and ensure retention aligns with regulatory obligations such as HIPAA or IRS rules when applicable.

Key processing milestones for an Identification Agreement

Track milestones from request through verification and archival to ensure timely completion and compliance with related deadlines.

01

Request sent

Signer receives the agreement and identity instructions to begin verification.

02

Evidence collected

Signer submits ID images or attends remote/in‑person verification session.

03

Verification completed

Verifier completes checks and records outcomes in the audit trail.

04

Archival

Signed agreement and evidence are stored under retention policy.

Typical timing expectations and processing windows

Set internal SLAs so parties know expected turnaround times for identity verification and agreement execution.

Response window for signer:

Request return within 7 calendar days to avoid delays.

In‑person notarization window:

Schedule within 30 days of signing when notary involvement is required.

RON session scheduling:

Book remote notarization within vendor availability, often 24–72 hours.

Verification review time:

Allow 1–3 business days for manual or automated review.

Correction period:

Permit 30 days for corrections to identity details after initial review.

How to configure an online verification workflow

Map fields and authentication steps before sending to ensure consistent evidence capture and reduce rework.

Field Configuration
Authentication Email link | SMS code | KBA options
ID upload Require JPEG/PDF; maximum file size
Verifier notes Add structured verifier comment field
Retention flag Auto‑archive to secure storage
