IDENTIFICATION CARD AND ISSUANCE AGREEMENT

WHEREAS, Issuer is an entity authorized to prepare and issue identification credentials for individuals for the purposes set forth herein and to maintain related records in accordance with applicable procedures; and

WHEREAS, Cardholder has requested issuance of an identification card evidencing certain identifying information, and has submitted information and documentation required by Issuer for verification and issuance; and

WHEREAS, the parties desire to set forth the terms and conditions under which Issuer will issue, and Cardholder will accept and use, the identification card.

SCOPE OF WORK

Issuer shall verify the identity of Cardholder, prepare and deliver the physical or digital identification card described in this Agreement, and maintain records of issuance in accordance with Issuer's internal procedures. Cardholder shall provide accurate documentation and cooperate with reasonable verification procedures.

PAYMENT TERMS

Cardholder shall pay Issuer fees associated with issuance, renewal, and replacements as set forth below. All fees are non-refundable except as expressly provided in this Agreement.

TERM AND TERMINATION

This Agreement commences on the start date and continues until expiration of the identification card or earlier termination in accordance with this section.

Issuer may suspend or revoke the identification card and terminate this Agreement immediately upon material misrepresentation by Cardholder, fraud in the application process, or a lawful order requiring revocation. Cardholder may terminate upon return of the card and fulfillment of any outstanding fees.

CONFIDENTIALITY

Each party shall maintain as confidential all non-public information obtained from the other party in connection with this Agreement, including supporting identity documents and verification results, and shall not disclose such information except (a) to employees or agents who have a need to know and are bound to maintain confidentiality, (b) as required by law or lawful order, or (c) with the prior written consent of the disclosing party. Confidentiality obligations shall survive termination for a period of five years or longer if required by law.

RESTRICTIONS, ACKNOWLEDGMENTS AND REPRESENTATIONS

Cardholder represents and warrants that all information provided to Issuer is true and correct. Cardholder shall not use the identification card for unlawful purposes and shall notify Issuer immediately if the card is lost, stolen, or reasonably suspected of misuse. Issuer will flag and may suspend cards suspected of fraudulent use pending investigation.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties below, without regard to choice-of-law rules that would apply the laws of another jurisdiction.

ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties with respect to issuance and use of the identification card and supersedes all prior negotiations, proposals and communications, whether oral or written. No modification of this Agreement shall be effective unless in writing and signed by both parties.
