IDENTIFICATION DOCUMENT — BUSINESS IDENTIFICATION AGREEMENT

This Identification Document and Business Identification Agreement (the Agreement) is made as of by and between the parties identified below.

Recitals

WHEREAS, Client requires verification of certain business and individual identification information to establish and maintain a commercial relationship; and

WHEREAS, Service Provider maintains processes and records for authenticating identification data and will provide identification services and related deliverables as described in this Agreement; and

WHEREAS, the parties desire to set forth in writing their respective obligations, representations, payment terms and confidentiality protections with respect to identification services and any business information exchanged.

Scope of Work

Service Provider shall perform business identification services as described below. The services include authentication of supplied identification documents, verification of business registration records, provision of a written identification report, and reasonable follow-up to resolve discrepancies. The deliverables and acceptance criteria are set forth in this Scope of Work and any attachments incorporated by reference.

Payment Terms

Client shall pay Service Provider the fees described below in exchange for the services performed. All fees are exclusive of applicable taxes unless otherwise stated.

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above. Termination shall not relieve Client of its obligation to pay for services performed prior to termination.

Confidentiality

Each party shall maintain in strict confidence all non-public information disclosed by the other party that is marked confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information includes identification data, business records, verification reports, methodologies and any personally identifiable information.

A receiving party may use Confidential Information solely to perform its obligations under this Agreement and shall not disclose Confidential Information to any third party except to its employees, agents or contractors who have a need to know and are bound by confidentiality obligations at least as protective as those herein. The obligations in this section survive termination for a period of three (3) years; trade secrets are protected for as long as such information remains a trade secret under applicable law.

Representations and Warranties

Each party represents and warrants that it has authority to enter into this Agreement and that the information it provides is true, accurate and complete to the best of its knowledge. Service Provider warrants that services will be performed in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, NO OTHER WARRANTIES ARE MADE, AND SUCH IMPLIED WARRANTIES ARE DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflicts of law principles. The parties consent to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute arising under this Agreement.

Indemnification and Limitation of Liability

Each party shall indemnify and hold harmless the other from claims, liabilities, losses and expenses arising out of its breach of this Agreement or negligent acts. Except for willful misconduct or gross negligence, neither party shall be liable for indirect, incidental, special or consequential damages. The aggregate liability of Service Provider for direct damages under this Agreement shall not exceed the total fees paid by Client to Service Provider in the twelve (12) months preceding the claim.

Entire Agreement

This Agreement, together with any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written understandings. Any modification must be in writing and signed by authorized representatives of both parties.
