Either party may terminate this Agreement upon written notice delivered at least days prior to the intended termination date. Termination for material breach may be immediate where the non-breaching party provides written notice and reasonable opportunity to cure has been afforded, if applicable.

Confidentiality and Data Protection

The Service Provider shall treat the passport image and any associated personal data as Confidential Information. Confidential Information shall be used solely for the purposes described in the Scope of Work and disclosed only to employees, contractors, or agents with a legitimate need to know who are bound by confidentiality obligations at least as protective as those in this Agreement.

The Service Provider shall implement and maintain appropriate technical and organizational measures to protect the passport image from unauthorized access, disclosure, alteration, or destruction. Upon termination or upon the Client’s written request, the Service Provider shall return or securely destroy all passport images and copies within days and certify such destruction in writing where requested.

Representations, Warranties, and Certifications

The Client represents and warrants that: (a) the passport image provided is a true, accurate and unaltered copy of the holder’s passport; (b) the Client is authorized to provide the passport image to the Service Provider for the purposes set forth in this Agreement; and (c) use of the passport image as contemplated will not violate the rights of any third party.

Indemnification and Liability

Each party shall indemnify and hold harmless the other party from third-party claims arising from its breach of this Agreement, negligent handling of the passport image, or unauthorized disclosure of Confidential Information, except to the extent caused by the other party’s gross negligence or willful misconduct. Except as expressly provided herein, neither party shall be liable for indirect, incidental or consequential damages.

Governing Law and Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction identified by the Client at the time of execution: Governing Jurisdiction: , without regard to conflict of law principles.

This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral.
