WHEREAS, Client requires verification and limited use of passport-based identification for the purposes specified in this Agreement; and

WHEREAS, Service Provider agrees to collect, verify, retain and transmit passport identification information only as expressly permitted by this Agreement and applicable law; and

WHEREAS, the parties intend that passport information exchanged pursuant to this Agreement will be handled as Confidential Information subject to the terms below.

SCOPE OF WORK

Service Provider shall perform identity verification and related processing activities limited to the passport data provided by Client. PAYMENT TERMS

Unless otherwise agreed in writing, undisputed payments not received within the time specified shall accrue late fees as set forth above. The Service Provider may suspend verification services for accounts delinquent beyond any cure period.

TERM AND TERMINATION

This Agreement commences on and, unless earlier terminated in accordance with this Agreement, shall continue until .

Either party may terminate this Agreement for material breach that remains uncured for the notice period specified above. Termination shall not relieve either party of obligations accrued prior to termination, including payment and confidentiality obligations.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" includes passport data, verification results, and any non-public business information disclosed by one party to the other. The receiving party shall (i) use Confidential Information solely for performance of this Agreement, (ii) restrict access to those employees and agents with a need to know, and (iii) employ administrative, technical and physical safeguards to protect Confidential Information in a manner consistent with industry standards.

Confidential Information shall not include information that: (a) is or becomes public other than through a breach of this Agreement; (b) was rightfully in the receiving party's possession prior to disclosure; or (c) is independently developed without use of the disclosing party's Confidential Information. Any compelled disclosure by law shall be disclosed only after the receiving party gives prompt notice to the disclosing party and cooperates to seek protective relief where appropriate.

DATA HANDLING AND COMPLIANCE

The parties represent and warrant that passport data will be handled in compliance with applicable data protection and privacy laws. Service Provider shall promptly notify Client of any actual or reasonably suspected unauthorized access or breach involving passport data and shall cooperate with Client in containment and remediation efforts.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of , without regard to choice of law principles.

ENTIRE AGREEMENT

This Agreement, including all exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

REPRESENTATIONS AND INDEMNITY

Each party represents that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Client represents that any passport data provided is submitted with the lawful consent of the passport holder. Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims arising from the indemnifying party's breach of this Agreement or its negligent or willful misconduct.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except to an affiliate or in connection with a merger or sale of substantially all assets.
