IDX Transaction Agreement

This IDX Transaction Agreement (the Agreement) is entered into effective as of (Effective Date) by and between the Provider identified above and the Recipient identified above.

WHEREAS

WHEREAS, Provider operates and maintains an IDX data feed, comprising listing and transaction-related data, metadata, images and associated content (collectively, IDX Data); and

WHEREAS, Recipient desires to receive, display and use IDX Data in connection with Recipient’s real estate marketing and brokerage activities subject to the terms and conditions set forth herein; and

WHEREAS, Provider is willing to grant Recipient a license to access and use the IDX Data on the terms contained in this Agreement.

SCOPE OF WORK

Provider shall deliver access to the IDX Data feed and reasonably necessary integration support. Recipient shall use the IDX Data only as expressly authorized below and in accordance with any technical specifications, integration guidelines, and reasonable operational practices provided by Provider.

DATA USE AND RESTRICTIONS

Recipient may use the IDX Data solely for the marketing and display of property listings on Recipient-controlled platforms in accordance with this Agreement. Recipient shall not alter listing attribution, remove identifying metadata, misrepresent listing status, or redistribute IDX Data outside the permitted uses.

PAYMENT TERMS

In consideration for Provider's delivery and license of the IDX Data, Recipient agrees to pay Provider as follows:

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party that remains uncured thirty (30) days after written notice specifying the breach. Termination shall not relieve Recipient of obligation to pay accrued fees through the effective date of termination.

CONFIDENTIALITY

Each party shall hold confidential and shall not disclose the other party's Confidential Information except as permitted by this Agreement. Confidential Information includes non-public technical, financial or business information, including the IDX Data, API credentials, mappings, technical specifications and integration details. Confidentiality obligations shall survive termination for a period of years.

REPRESENTATIONS, WARRANTIES AND INDEMNIFICATION

Each party represents and warrants that it has the authority to enter into this Agreement and that its performance will not violate any agreement or law. Provider warrants that it has the right to provide the IDX Data and that, to Provider's knowledge, the IDX Data does not materially infringe third-party rights. Recipient warrants it will comply with applicable laws and listing rules in its use of IDX Data.

Recipient shall indemnify, defend and hold harmless Provider from and against any third-party claims arising out of Recipient's misuse of the IDX Data or breach of this Agreement. Provider shall indemnify Recipient for claims arising from Provider's gross negligence or willful misconduct in supplying the IDX Data.

LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES. EACH PARTY’S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY RECIPIENT TO PROVIDER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

DATA SECURITY

Recipient shall implement and maintain reasonable administrative, technical and physical safeguards to protect IDX Data against unauthorized access, disclosure or use. Recipient shall promptly notify Provider of any security incident involving IDX Data and shall cooperate in remediation efforts.

NOTICES

All notices under this Agreement must be in writing and delivered to the addresses set forth below (or to such other address as a party designates by notice).

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.

MISCELLANEOUS

No amendment or modification to this Agreement shall be effective unless in writing and signed by authorized representatives of both parties. If any provision of this Agreement is held unenforceable, the remainder shall remain in full force and effect.
