ILLUSTRATOR SERVICES CONTRACT

This Illustrator Services Contract (the "Agreement") is made as of Effective Date: by and between Client Name: (Client), and Illustrator Name: (Illustrator).

RECITALS

WHEREAS, Client desires to engage Illustrator to produce original artwork, illustrations and related materials for the project titled Project Name: (Project); and

WHEREAS, Illustrator represents that Illustrator possesses the creative ability and technical skill to perform the services described in this Agreement and is willing to provide such services on the terms set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the creation, delivery and licensing of the artwork.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SERVICES

Illustrator shall provide illustration and creative services as set forth in the scope below. Services include but are not limited to concept sketches, final artwork, color separations, and delivery of digital files in mutually agreed formats. The detailed scope is:

Deliverables shall consist of the items specified below and shall be delivered according to the schedule. Each deliverable shall meet the specifications set forth in this Agreement. Deliverables:

Client shall pay Illustrator total compensation in the amount of $ (Compensation) in accordance with the following schedule and terms.

If payment is not received when due, Client shall pay interest on overdue amounts at the rate of or the maximum rate permitted by law, whichever is less.

Client will reimburse Illustrator for pre-approved, reasonable out-of-pocket expenses directly incurred in connection with the Project. Expenses must be documented by receipts and approved in writing in advance by Client. Expense policy:

The parties agree that the project fee includes round(s) of revisions per deliverable. Additional revisions requested by Client will be billed at unless otherwise agreed in writing.

6. INTELLECTUAL PROPERTY AND LICENSE

Unless otherwise agreed in writing, any license granted is limited to the uses expressly set forth in this Agreement. Client shall not sublicense, assign or transfer rights except as expressly permitted.

7. MORAL RIGHTS

To the extent permitted by law, Illustrator hereby irrevocably waives and agrees not to assert any moral rights or droit moral in the Deliverables against Client and Client's licensees for the uses permitted under this Agreement. If waiver is unavailable, Illustrator grants Client a perpetual, transferable right to use, modify and adapt the Deliverables.

8. CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party in connection with the Project and shall not disclose such information to third parties except as necessary to perform under this Agreement. Confidentiality obligations do not apply to information that is or becomes public through no fault of the receiving party, or that is independently developed.

9. TERM AND TERMINATION

This Agreement commences on the Effective Date and continues until completion of the Deliverables unless earlier terminated in accordance with this Section. Either party may terminate for convenience upon days' prior written notice. Either party may terminate immediately for material breach that is not cured within days after written notice.

Upon termination, Client shall pay Illustrator for all Services performed and approved Deliverables delivered through the effective date of termination, together with reimbursable expenses incurred.

10. REPRESENTATIONS AND WARRANTIES

Illustrator represents and warrants that (a) the Deliverables will be original to Illustrator and will not infringe third-party rights; (b) Illustrator has full power and authority to enter into and perform this Agreement; and (c) to Illustrator's knowledge, there are no claims or encumbrances that would impair the rights granted to Client hereunder.

11. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party, its officers, directors and agents from and against any losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of a breach of the indemnifying party's representations, warranties or obligations under this Agreement, or from third party claims to the extent caused by the indemnifying party's acts or omissions.

12. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages. The aggregate liability of either party for any claim arising under this Agreement shall not exceed $ or the total fees paid under this Agreement, whichever is greater.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

14. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by certified mail, overnight courier or personal delivery, or by email with confirmation of receipt.

15. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a writing signed by both parties. No waiver of any breach shall be effective unless in writing signed by the party granting the waiver. This Agreement may be executed in counterparts, each of which together shall constitute one instrument.

16. ENTIRE AGREEMENT

This Agreement, together with all exhibits and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written.

17. SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.
