IMMIGRATION LAWFUL PRESENCE VERIFICATION AGREEMENT

This Immigration Lawful Presence Verification Agreement (the Agreement) is entered into as of by and between Client Name: and Service Provider: .

WHEREAS

WHEREAS, Client desires that Service Provider perform verification of an individual's lawful presence in the United States for the limited purposes described herein; and

WHEREAS, Service Provider represents that it has the authority, protocols, and personnel to inspect, record, and retain documentary evidence of identity and immigration status consistent with applicable federal and state law and the terms of this Agreement; and

WHEREAS, the parties intend to set forth the scope, compensation, confidentiality, and legal terms governing the verification services.

SCOPE OF WORK

Service Provider shall perform documentary review, record identification, and verification actions only as expressly described in the Description of Services. Service Provider shall inspect original identity and immigration status documents, record document types and numbers, note issuance and expiration dates, and retain copies or records as required by applicable law and this Agreement.

PAYMENT TERMS

Payments not received within the payment period set forth in Payment Schedule shall accrue interest or late fees as specified above. Client shall be responsible for reasonable collection costs, including attorneys' fees, for unpaid amounts.

Either party may terminate this Agreement for convenience by providing written notice to the other party as set forth above. Either party may terminate immediately for material breach by the other party that remains uncured after ten (10) days' written notice. Termination shall not relieve Client of its obligation to pay for services rendered through the effective date of termination.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information obtained from the other in connection with performance under this Agreement, including copies of identity and immigration documents and any personally identifiable information, and shall not disclose such information except to employees, contractors, or legal authorities as required by law or with the prior written consent of the disclosing party. Service Provider shall implement reasonable administrative, technical, and physical safeguards to protect confidential information against unauthorized disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice-of-law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications. Any amendment or modification must be in writing and executed by authorized representatives of both parties.
