IMMIGRATION SERVICES CONTRACT

This Immigration Services Contract (the Agreement) is entered into as of by and between Client Name: (the Client) and Service Provider Name: (the Service Provider). The parties agree as follows.

RECITALS

WHEREAS, the Client seeks professional assistance to obtain immigration benefits, including but not limited to visa applications, adjustment of status, consular processing, work authorization, or naturalization;

WHEREAS, the Service Provider represents that it is duly qualified and authorized to provide immigration advisory and preparatory services and to prepare and submit immigration-related filings on behalf of the Client when authorized in writing;

WHEREAS, the parties desire to set forth the terms and conditions under which the Service Provider will provide such services and the Client will compensate the Service Provider.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows.

1. SERVICES

1.1 Scope. The Service Provider shall provide immigration services as described in the Service Description below and such additional services as the parties may agree in writing. Services may include legal form preparation, document assembly, filing of petitions and applications, representation in administrative proceedings, and communication with immigration authorities on behalf of the Client to the extent authorized.

2. FEES, EXPENSES AND PAYMENT

2.1 Professional Fees. Client shall pay the Service Provider fees for services rendered in accordance with the fee schedule below. Fees are earned when services are performed and are payable pursuant to this Agreement.

2.2 Expenses. Client shall reimburse reasonable out-of-pocket expenses (filing fees, courier, translation, photocopying) incurred by the Service Provider in connection with services. Such expenses shall be invoiced and payable when billed.

3. AUTHORIZATION AND POWER OF ATTORNEY

3.1 Authorization. Client authorizes the Service Provider to prepare and file immigration forms, to communicate with immigration authorities and third parties on Client's behalf, and to take customary procedural actions reasonably necessary to pursue the immigration matter, subject to any limitations set forth in writing.

4. CLIENT RESPONSIBILITIES

4.1 Client shall provide truthful, complete and accurate information and documents in a timely manner; shall disclose any criminal history, prior immigration filings, or adverse facts; and shall cooperate with the Service Provider in a timely manner. Failure to do so may result in withdrawal of services and Client liability for fees and costs.

5. NO GUARANTEE OF OUTCOME

5.1 The Service Provider makes no promises or guarantees regarding the outcome of any immigration matter. All expressions regarding likely outcomes are opinions only. Client acknowledges that decisions by immigration authorities are beyond the Service Provider's control.

6. CONFIDENTIALITY AND DATA PROTECTION

6.1 The Service Provider shall maintain confidentiality of Client information except as required to perform services, as required by law, or as authorized by the Client. The Service Provider may retain copies of Client files in physical or electronic form consistent with professional obligations.

7. TERM AND TERMINATION

7.1 This Agreement commences on the Effective Date above and continues until the completion of the services described herein or earlier termination as provided below.

7.2 Either party may terminate this Agreement for convenience upon days' written notice. The Service Provider may terminate immediately for Client's material breach, failure to pay fees, or failure to cooperate.

8. TERMINATION CHARGES AND REFUNDS

8.1 Upon termination, the Client shall pay for all services performed and expenses incurred up to the date of termination. Refund of any unearned portion of fees, if any, will be made as required by applicable professional rules and as set forth in the payment terms.

9. REPRESENTATIONS AND WARRANTIES

9.1 Client represents that all information provided to the Service Provider is true, accurate and complete and that Client will notify the Service Provider of any material changes. Service Provider represents that it will perform services in a professional manner consistent with applicable standards.

10. INDEMNIFICATION; LIMITATION OF LIABILITY

10.1 Indemnification. Client shall indemnify, defend, and hold harmless the Service Provider from any claims, liabilities, costs and expenses (including reasonable attorneys' fees) arising from Client's breach of this Agreement or from Client's willful misrepresentation or omission of material facts.

10.2 Limitation of Liability. Except for willful misconduct or gross negligence, Service Provider's total liability arising from or relating to this Agreement shall not exceed the total fees paid by Client under this Agreement.

11. DISPUTE RESOLUTION

11.1 The parties agree to attempt to resolve disputes first through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration administered in accordance with the parties' chosen arbitration rules, and judgment on the award may be entered in any court with jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

12. NOTICES

12.1 All notices required or permitted under this Agreement shall be in writing and delivered by hand, certified mail (return receipt requested), or overnight courier to the addresses set forth below or to such other address as a party may designate in writing.

13. AMENDMENTS; WAIVER; COUNTERPARTS

13.1 This Agreement may be amended only by a written instrument signed by both parties. Failure to enforce any provision shall not constitute a waiver of that provision. This Agreement may be executed in counterparts and delivered electronically with the same effect as an original signature.

14. GOVERNING LAW

14.1 This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

15. ENTIRE AGREEMENT

15.1 This Agreement, including any attachments or written fee schedules incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and representations.

16. SEVERABILITY

16.1 If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired.

17. CERTIFICATIONS

17.1 The undersigned certify that they are authorized to enter into this Agreement on behalf of the party for whom they sign, that they have read and understand the terms herein, and that the information provided to the Service Provider is true and complete to the best of their knowledge.
