RECITALS

This Letter constitutes a written statement of support and is not an offer of employment unless separately agreed in writing.

2. SUPPORT UNDERTAKING

The Supporter agrees to provide the following forms of support as necessary for the Beneficiary's immigration matter:

(a) Preparation and submission of factual statements and letters of support describing the relationship with the Beneficiary, duration of acquaintance, and basis for support; and

(b) Cooperation in procuring and supplying documentation, including but not limited to identity documents, proof of relationship, employment verification, financial records, and affidavits from third parties, as reasonably requested by the Beneficiary or the Beneficiary's legal representative.

3. FINANCIAL SUPPORT AND INDEMNITY

9. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Letter shall be governed by and construed in accordance with the substantive laws of the state or jurisdiction identified below without regard to conflict of law principles. This Letter constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior written or oral agreements. If any provision of this Letter is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10. AMENDMENTS; WAIVER; COUNTERPARTS

Any amendment or modification of this Letter must be in writing and signed by both parties. No waiver by either party of any breach shall be deemed a waiver of any subsequent breach. This Letter may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.
