TERM AND TERMINATION

This Agreement commences on and shall continue until , unless earlier terminated in accordance with this section.

Either Party may terminate for material breach if such breach is not cured within days after written notice. Either Party may terminate for convenience upon days written notice. Termination does not relieve Client of payment for services rendered through the effective termination date.

CONFIDENTIALITY

The Parties agree that Confidential Information disclosed in connection with this Agreement shall be used solely for performance of the Impact Assessment. Confidential Information excludes information that (a) is or becomes publicly available other than by breach of this Agreement, (b) was rightfully known by the receiving Party prior to disclosure, (c) is lawfully received from a third party not under an obligation of confidentiality, or (d) is independently developed by the receiving Party. The receiving Party shall protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care.

Notwithstanding the foregoing, Consultant may disclose Confidential Information to comply with applicable law or a valid order of a court or other competent authority, provided Consultant gives Client prompt written notice and cooperates with Client, at Client's expense, in any lawful effort to limit or contest the scope of such disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the Parties. The Parties submit to the exclusive jurisdiction of the competent courts in that jurisdiction for disputes arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This document, together with any attachments and statements of work expressly incorporated by reference, constitutes the entire agreement between the Parties with respect to the Impact Assessment and supersedes all prior agreements, understandings and negotiations, whether written or oral. Any amendment or waiver must be in writing and signed by authorized representatives of both Parties.

CERTIFICATION

The undersigned certify that the information contained in this Impact Assessment Report is true and accurate to the best of their knowledge and that the assessment was conducted in accordance with the methodology described herein and professional standards applicable to the discipline.
