INCOME SHARE AGREEMENT

This Income Share Agreement (the Agreement) is made effective as of (Effective Date) between Investor named above and Recipient named above. Investor agrees to provide funds to Recipient on the terms set forth below in exchange for a contractual share of Recipient's future income.

Definitions

For purposes of this Agreement, "Income" shall mean all gross compensation received by Recipient from employment, contracts for services, consulting, self-employment, royalties, commissions, bonuses, and similar taxable earned receipts, excluding gifts and investment income unless otherwise specified in writing. Parties may specify modifications to this definition below.

Recipient shall retain records of Income and shall permit Investor or its designated agent to audit such records upon reasonable notice during normal business hours no more than once per twelve-month period.

Investor may assign or transfer its rights under this Agreement without Recipient's consent; Recipient may not assign its obligations without Investor's prior written consent, except to a successor of substantially all of Recipient's business. This Agreement is binding upon and inures to the benefit of the parties and their permitted successors and assigns.

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice.
