INDEPENDENT AGENT SERVICE AGREEMENT

This Independent Agent Service Agreement (the Agreement) is made and entered into as of by and between:

RECITALS

WHEREAS, Principal is engaged in the business of offering products and/or services and desires to engage Agent to promote, solicit, and procure business on behalf of Principal in accordance with the terms of this Agreement; and

WHEREAS, Agent represents that Agent has the qualifications, experience, and ability to perform the acts described in this Agreement as an independent contractor and not as an employee of Principal; and

WHEREAS, the parties wish to set forth the terms, conditions, and obligations governing Agent’s engagement and compensation.

SCOPE OF WORK

Agent shall perform the services described below and any related duties as mutually agreed in writing by the parties. Agent shall use commercially reasonable efforts to solicit clients, present Principal’s products and services, and procure orders or contracts on behalf of Principal in accordance with the terms set forth herein.

COMPENSATION AND PAYMENT TERMS

Principal shall pay Agent compensation as set forth below in full consideration for the services rendered by Agent. All amounts referred to are in U.S. dollars unless otherwise indicated.

Agent shall submit written invoices in the form reasonably required by Principal. Principal shall pay undisputed amounts within the period set forth in the payment schedule. Disputed amounts shall be resolved in good faith and, pending resolution, undisputed amounts shall be paid.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days’ prior written notice to the other party. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Principal of the obligation to pay earned and undisputed compensation due to Agent through the effective date of termination.

CONFIDENTIALITY

Agent acknowledges that during the performance of services Agent may have access to confidential, proprietary, or trade-secret information of Principal (Confidential Information). Agent shall: (a) hold such information in strict confidence; (b) not use Confidential Information except to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party without Principal’s prior written consent. Confidential Information does not include information that: (i) is or becomes publicly available through no act or omission of Agent; (ii) was lawfully in Agent’s possession prior to disclosure by Principal; or (iii) is independently developed by Agent without use of Confidential Information. Upon termination, Agent shall promptly return or destroy all Confidential Information and certify compliance upon request.

INDEPENDENT CONTRACTOR STATUS

Agent is an independent contractor and not an employee, partner, joint venturer, or franchisee of Principal. Agent shall be solely responsible for all taxes, withholdings, insurance, and other statutory obligations arising from compensation paid to Agent. Agent has no authority to bind Principal except as expressly provided in this Agreement.

INDEMNIFICATION

Agent shall indemnify, defend, and hold harmless Principal and its affiliates from and against any and all losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or resulting from Agent’s negligence, willful misconduct, breach of this Agreement, or violation of applicable laws in the performance of Agent’s duties.

LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY’S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Any action arising out of or relating to this Agreement shall be venued in the courts located within that state unless the parties mutually agree otherwise in writing.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices, requests, consents, claims, demands, waivers and other communications hereunder shall be in writing and delivered to the addresses set forth above or to such other address as may be designated by a party by written notice to the other party.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The headings used in this Agreement are for convenience only and shall not affect interpretation.
