INDEPENDENT CONTRACTOR ISA

This Independent Contractor ISA (the "Agreement") is made and entered into as of , by and between Company Name: with principal place of business at ("Company"), and Contractor Name: with principal place of business at ("Contractor").

RECITALS

WHEREAS, Company engages in the business of providing products and services and requires certain services to be performed by qualified independent contractors; and

WHEREAS, Contractor represents that Contractor has the requisite experience, qualifications and resources to perform the services described in this Agreement and desires to provide such services to Company on the terms set forth herein; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the performance, compensation, ownership of work product, confidentiality and other matters in connection with Contractor's engagement.

NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT; SCOPE OF SERVICES

1.1 Engagement. Company hereby engages Contractor, and Contractor accepts such engagement, to perform the services described in this Agreement on an independent contractor basis and subject to the terms and conditions set forth herein.

2. TERM

2.1 Term. The term of this Agreement shall commence on the Effective Date set forth above and shall continue until , unless earlier terminated in accordance with Section 10.

3. COMPENSATION; EXPENSES; INVOICING

3.1 Compensation. As full compensation for the Services, Company shall pay Contractor in accordance with the schedule and rates set forth below.

Contractor shall be reimbursed for pre‑approved, reasonable, documented expenses in accordance with Company's policies. Reimbursement limit per expense item:

3.2 Invoicing. Contractor shall submit itemized invoices describing services performed and amounts due. Company shall pay undisputed invoices within days after receipt.

4. INDEPENDENT CONTRACTOR STATUS; TAXES

4.1 Relationship. Contractor shall perform the Services as an independent contractor and not as an employee, agent, partner or joint venturer of Company. Contractor shall have no authority to bind Company to any obligation.

4.2 Taxes and Benefits. Contractor is solely responsible for all federal, state and local taxes, withholdings, and any other statutory obligations related to compensation paid to Contractor. Contractor shall not be eligible for Company employee benefits.

5. CONFIDENTIALITY

5.1 Confidential Information. Contractor acknowledges that in the course of performing the Services it will receive or have access to confidential and proprietary information of Company ("Confidential Information"). Contractor agrees not to disclose, use or permit the use of Confidential Information except as required to perform the Services or as authorized in writing by Company.

5.2 Return of Materials. Upon termination or at Company's request, Contractor shall promptly return or destroy all Confidential Information and certify such destruction in writing.

6. INTELLECTUAL PROPERTY

6.1 Work Product. Contractor agrees that all works, inventions, discoveries, improvements, developments, designs, processes, software, data, and materials created, conceived or reduced to practice by Contractor in connection with the Services (collectively, "Work Product") shall be deemed a work made for hire and shall be the exclusive property of Company. To the extent any Work Product is not deemed a work made for hire, Contractor hereby assigns and agrees to assign to Company all right, title and interest in and to such Work Product.

6.2 Moral Rights. Contractor hereby waives, to the maximum extent permitted by law, any moral rights in any Work Product and agrees to execute documents and take further actions reasonably requested by Company to perfect its proprietary rights.

7. REPRESENTATIONS; WARRANTIES

Contractor represents and warrants that (a) Contractor has full power and authority to enter into this Agreement; (b) Contractor's performance will be of professional quality and in accordance with industry standards; and (c) Contractor's performance and Work Product will not infringe any third party's intellectual property rights.

8. INDEMNIFICATION

Contractor shall indemnify, defend and hold harmless Company, its officers, directors and employees from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or relating to (a) Contractor's negligence or willful misconduct; (b) Contractor's breach of this Agreement; or (c) any allegation that the Work Product infringes the rights of a third party.

9. INSURANCE

Contractor shall maintain at its expense commercial general liability insurance, professional liability/errors and omissions insurance, and workers' compensation insurance as required by applicable law. Minimum coverage amounts and certificate requirements shall be:

10.1 Termination for Convenience. Either party may terminate this Agreement for convenience upon days' prior written notice to the other party.

10.2 Termination for Cause. Either party may terminate this Agreement for material breach by the other party that remains uncured after days' written notice.

10.3 Effect of Termination. Upon termination, Contractor shall cease performance, deliver all Work Product and shall be entitled to payment for undisputed Services performed through the effective date of termination, subject to setoff for damages or breach.

11. NOTICES

All notices, requests, demands and other communications under this Agreement shall be in writing and delivered to the addresses below by certified mail, overnight courier or personal delivery and shall be deemed given upon receipt.

12. AMENDMENTS; WAIVER

Any amendment or modification to this Agreement must be in writing and executed by authorized representatives of both parties. No waiver of any provision shall be effective unless in writing and signed by the waiving party.

13. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any action arising out of this Agreement.

14. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, including any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and representations, whether oral or written. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
